Common use of Time and Place of the Closing Clause in Contracts

Time and Place of the Closing. The closing (the "Closing") shall take place at the offices of Debevoise & ▇▇▇▇▇▇▇▇, ▇▇▇ ▇▇▇▇▇ ▇▇▇▇▇▇, ▇▇▇ ▇▇▇▇, ▇▇▇ ▇▇▇▇, ▇▇▇▇▇, at 10:00 A.M., New York time, on the third Business Day following the first date on which the conditions to Closing set forth in Article IX have first been satisfied or waived, or at such other place, time and date as the parties may agree. The Company shall give Purchaser ten Business Days prior written notice of the date the Closing is scheduled to occur. The "Closing Date" shall be the date the Closing occurs.
