Common use of Time Commitments Clause in Contracts

Time Commitments. During the Executive’s employment, the Executive shall devote substantially all of his business time, energies and talents to serving as the President, North American Operations, perform his duties conscientiously and faithfully subject to the reasonable and lawful directions of the Chief Executive Officer, and in accordance with each of the corporate governance and ethics guidelines, conflict of interests policies and code of conduct applicable to all employees or senior executives generally of the Affiliated Group. During the Executive’s employment, it shall not be a violation of this Agreement for the Executive, subject to the requirements of Article 6, to (a) fulfill speaking engagements and (b) manage personal investments, so long as such activities do not materially interfere with the performance of the Executive’s duties or responsibilities under this Agreement.

During the Executive’s employment, it shall not be a violation of this Agreement for the Executive, subject to the requirements of Article 6, to (a) fulfill speaking engagements and (b) manage personal investments, so long as such activities do not materially interfere with the performance of the Executive’s duties or responsibilities under this Agreement.
