Common use of Time & Materials Clause in Contracts

Time & Materials. (a) Where Professional Services are provided on a time and materials basis: (i) the charges payable for the Professional Services shall be calculated in accordance with Posturite's standard daily fee rates; (ii) Posturite's standard daily fee rates for each individual person are calculated on the basis of an seven and a half -hour day, worked between Normal Business Hours; (iii) Posturite shall ensure that every individual whom it engages on the Professional Services completes time sheets recording time spent on the Professional Services, and Posturite shall use such time sheets to calculate the charges covered by each monthly invoice referred to in condition 5.10.2(a)(iv); and (iv) Posturite shall invoice the Customer monthly in arrears for its charges for time, expenses and materials (together with VAT where appropriate) for the month concerned, calculated as provided in this condition 5.10.2 and condition 5.10.4. (b) Posturite reserves the right to charge the Customer if Posturite’s performance of its obligations under the Contract is prevented or delayed by any act or omission of the Customer, including, without limitation to the Customer’s obligation under condition 5.4.3.
