Common use of TITLE CONDITIONS Clause in Contracts

TITLE CONDITIONS. As of expiration of the Diligence Period, Developer shall have determined that the Title Insurer shall: (i) insure, for its fair market value, as applicable, marketable, fee simple title to and/or leasehold estate in the Project Site in the name of Developer, free of all Title Defects, other than those Title Defects that City commits to cure or remove at or before the Closing but subject to the Permitted Exceptions and such other matters as Developer is deemed to have waived pursuant to the terms and conditions of this Agreement; and (ii) issue such endorsements as Developer reasonably deems to be necessary or appropriate.
