Common use of Title Files Clause in Contracts

Title Files. Promptly after the execution of this Agreement and during the term of this Agreement, Optionor shall permit Optionee and its representatives at reasonable times during normal business hours to examine, in Optionor’s offices at their actual location, all abstracts of title, title opinions, title files, ownership maps, lease files, assignments, division orders, payout statements, title curative, other title materials and agreements pertaining to the Assets by Optionee, within a reasonable period of time, insofar as the same may now or in the future be in existence and in the possession of Optionor. No warranty of any kind is made by Optionor as to the information so supplied, and Optionee agrees that any conclusions drawn therefrom are the result of its own independent review and judgment. Optionee shall be entitled to copies of all files related to the Assets other than files containing privileged communications or attorney work product.
