To Client. Cambrex hereby grants to Client a perpetual, irrevocable, worldwide, non-exclusive, paid-up, royalty-free, non-transferable right and license (with the right to sublicense through multiple tiers) to use (i) any of Cambrex’s Proprietary IP used by Cambrex to manufacture or test Products and (ii) any Cambrex Inventions (in each case (i) or (ii)) solely to develop, manufacture, use, sell, offer for sale, import, export and otherwise commercialize and exploit Products in accordance with Applicable Law. For the avoidance of doubt, the foregoing license shall survive any expiration or termination of this Agreement or any Proposal. Client shall not, and shall ensure that any and all sublicensees do not, use the Intellectual Property licensed hereunder for any purpose not expressly permitted by the foregoing license.
