Common use of Trade Controls Clause in Contracts

Trade Controls. Customer understands that the Solutions may be subject to the export control, economic sanctions, customs, import, and anti-boycott laws, regulations, and orders promulgated or enforced by Canada, the United States, Customer’s jurisdictions of incorporation and operations, and any other country or governmental body having jurisdiction over the parties to this Agreement (“Trade Controls”). Customer shall ensure that the Solutions are not re-exported, provided or transferred to any person or entity listed on any restricted or prohibited persons list issued by Canada, the United States, Germany, or any governmental authority of any applicable jurisdiction, including but not limited to the Bureau of Industry and Security’s Denied Persons, Entity, or Unverified List or the Office of Foreign Assets Control’s Specially Designated Nationals and Blocked Persons List, Foreign Sanctions Evaders List, or Sectoral Sanctions Identifications List (collectively, the “Restricted Persons Lists”). Customer represents and warrants that it and its shareholders, members, partners, or other owners are not listed on, or owned 50% or more, collectively or individually, by anyone on a Restricted Persons List. Customer shall not use the Solutions (a) for a military application, wherever located; or (b) with knowledge or reason to know that the Solutions will be used for nuclear, chemical, or biological weapons proliferation or (c) for any other end use or by any end user otherwise prohibited by applicable Trade Controls. Upon request by Arctic Wolf, Customer will complete and provide an end use certificate in the form requested by Arctic Wolf. Arctic Wolf may suspend and/or cancel the export, delivery, and or servicing of the Solutions, if: (i) Arctic Wolf has not received requested end-user certifications; (ii) Arctic Wolf has not received any government approvals required to comply with Trade Controls, or (iii) Arctic Wolf believes that such activity may violate any Trade Controls. If the Solutions are resold or transferred in violation of any Trade Controls or the provision of this Agreement, Arctic Wolf shall not be obligated to provide any warranty service or technical support for such Items.

Trade Controls. Customer represents and warrants that it will comply with all applicable U.S. and foreign export, import, and customs laws and regulations, including the Export Administration Regulations (“EAR”), the Foreign Trade Regulations (“FTR”), the sanctions laws, regulations, and executive orders administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control, and the U.S. Anti-boycott Laws as such term is defined below (collectively, the “Trade Control Laws”) at its shareholderssole cost and expense. In the event of a conflict between any U.S. and foreign Trade Control Laws, membersthe U.S. Trade Control Laws will prevail. Customer agrees that with regard to any technical data provided to JLL or uploaded to its services, partnersCustomer has accurately (i) determined the applicable export control classifications and licensing requirements, (ii) obtained any necessary export licenses, and (iii) submitted any necessary export clearance declarations. If Customer does not provide a Customer Export Classification Form to JLL, Customer is deemed to have certified to JLL that the respective technical data are classified as EAR99. Customer must notify JLL before providing any technical data that is controlled under Trade Control Laws, if any, and clearly mark such data as export-controlled. JLL will not be liable to Customer for any loss or other owners are not expense if Customer fails to comply with the applicable Trade Control Laws or with the provisions set forth herein. Customer will immediately notify JLL if Customer becomes listed on, or owned 50% or more, collectively or individually, controlled by anyone on a Restricted Persons List. Customer shall not use on, any restricted persons list published by the Solutions (a) for a military applicationU.S. Departments of Commerce, wherever located; or (b) with knowledge or reason to know that the Solutions will be used for nuclear, chemicalTreasury, or biological weapons proliferation or (c) for any other end use or by any end user otherwise prohibited by applicable Trade Controls. Upon request by Arctic WolfState, Customer will complete and provide an end use certificate in the form requested by Arctic Wolf. Arctic Wolf may suspend and/or cancel the export, delivery, and or servicing of the Solutions, if: (i) Arctic Wolf has not received requested end-user certifications; (ii) Arctic Wolf has not received any government approvals required to comply with Trade ControlsEuropean Union, or (iii) Arctic Wolf believes that such activity the United Kingdom, or if Customer’s export privileges are fully or partially denied, suspended, or revoked. Notwithstanding anything to the contrary set forth herein, JLL may violate disclose Confidential Information to government agencies as JLL may deem reasonably necessary for the purpose of disclosing, resolving, or remediating any Trade Controls. If the Solutions are resold violation or transferred in potential violation of any applicable Trade Controls or the provision of this Agreement, Arctic Wolf shall not be obligated to provide any warranty service or technical support for such ItemsControl Laws.
