Common use of Trading Reports Clause in Contracts

Trading Reports. If the Public Securities are quoted on the OTC Bulletin Board (or any successor trading market) or a market operated by the OTC Market Group Inc. (or similar publisher of quotations), then during such time the Company shall provide to the Representative, at its expense, such reports published by the OTC Bulletin Board or the OTC Market Group Inc. relating to price trading of the Public Securities, as the Representative shall reasonably request. In addition to the requirements of the preceding sentence, if the Public Securities are not listed on the Nasdaq Capital Market or such other national securities exchange for a period of two (2) years from the Closing Date, the Company, at its expense, shall provide Chardan a subscription to the Company’s weekly Depository Transfer Company Security Position Reports.

In addition to the requirements of the preceding sentence, if the Public Securities are not listed on the Nasdaq Capital Market or such other a national securities exchange exchange, for a period of two (2) years from the Closing Date, the Company, at its expense, shall provide Chardan Maxim a subscription to the Company’s weekly Depository Transfer Company Security Position Reports.

In addition to the requirements of the preceding sentence, if the Public Securities are not listed on the Nasdaq Capital Market New York Stock Exchange or such other national securities exchange for a period of two (2) years from the Closing Date, the Company, at its expense, shall provide Chardan a subscription to the Company’s weekly Depository Transfer Company Security Position Reports.

In addition to the requirements of the preceding sentence, if the Public Securities are not listed on the Nasdaq Capital Global Market or such other national securities exchange for a period of two (2) years from the Closing Date, the Company, at its expense, shall provide Chardan Chardan, upon written request (email shall suffice), a subscription to the Company’s weekly Depository Transfer Company Security Position Reports.

(or similar publisher of quotations), then during such time the Company shall provide to the Representative, at its expense, such reports published by the OTC Bulletin Board or the OTC Market Group Inc. relating to price trading of the Public Securities, as the Representative shall reasonably request. In addition to the requirements of the preceding sentence, if the Public Securities are not listed on the Nasdaq Capital Global Market or such other national securities exchange for a period of two (2) years from the Closing Date, the Company, at its expense, shall provide Chardan Lucid a subscription to the Company’s weekly Depository Transfer Company Security Position Reports.

(or similar publisher of quotations), then during such time the Company shall provide to the Representative, at its expense, such reports published by the OTC Bulletin Board or the OTC Market Group Inc. relating to price trading of the Public Securities, as the Representative shall reasonably request. In addition to the requirements of the preceding sentence, if the Public Securities are not listed on the Nasdaq Capital Market or such other national securities exchange for a period of two (2) years from the Closing Date, the Company, at its expense, shall provide Chardan the Representative a subscription to the Company’s weekly Depository Transfer Company Security Position Reports.

In addition to the requirements of the preceding sentence, if the Public Securities are not listed on the Nasdaq Capital Global Market or such other national securities exchange for a period of two (2) years from the Closing Date, the Company, at its expense, shall provide Chardan the Representative a subscription to the Company’s weekly Depository Transfer Company Security Position Reports, as the Representative may request.

In addition to the requirements of the preceding sentence, if the Public Securities are not listed on the Nasdaq Capital Market or such other national securities exchange for a period of two (2) years from the Closing Date, the Company, at its expense, shall provide Chardan SVB Leerink a subscription to the Company’s weekly Depository Transfer Company Security Position Reports.

(or similar publisher of quotations), then during such time the Company shall provide to the RepresentativeRepresentatives, at its expense, such reports published by the OTC Bulletin Board or the OTC Market Group Inc. relating to price trading of the Public Securities, as the Representative Representatives shall reasonably request. In addition to the requirements of the preceding sentence, if the Public Securities are not listed on the Nasdaq Capital Market or such other national securities exchange for a period of two (2) years from the Closing Date, the Company, at its expense, shall provide Chardan the Representatives a subscription to the Company’s weekly Depository Transfer Company Security Position Reports.
