Common use of Transaction Expense Amount Clause in Contracts

Transaction Expense Amount. The Company shall pay US$3,500.00 to the Buyer as an original issue discount in connection with the sale of the Note (the “OID”). The OID has been included in the Principal Amount of the Note and accordingly such Principal Amount of the Note is US$38,500.00. Additionally, the Company shall pay the Buyer’s legal counsel $2,000.00 in connection with the preparation of the Agreement, the Note and related transaction documents.
