Transactions and Agreements. Since the date as of which information is given in the Preliminary Prospectus, neither the Company nor any Subsidiary (as defined below) has entered into, plans to enter into or will before the Closing Date or any Option Closing Date enter into any transaction or agreement, not in the ordinary course of business, that is material to the Company and its Subsidiaries taken as a whole or incurred or will incur any liability or obligation, direct or contingent, not in the ordinary course of business, that is material to the Company and its Subsidiaries taken as a whole.
Transactions and Agreements. Pursuant to the Prior Stock Purchase Agreement and the Assignment and Assumption Agreement, the TPH Member assigned to the Company, and the Company agreed to acquire from the TPH Member, the Assigned Interest on the effective date of the First Amended and Restated Agreement. On the Effective Date, TPHS Lender LLC is selling 25,862,245 shares of common stock, par value $0.01 per share, of TPH Member, to Steel IP Investments, LLC pursuant to the Stock Purchase Agreement.
