TRANSACTIONS WITH THE SELLERS. 8.1 There is no outstanding Indebtedness or other liability (actual or contingent) and no outstanding contract, commitment or arrangement between the Company and any Seller or any of its Affiliates and the Affiliates’ respective directors, officers, employees, agents, consultants and advisers. 8.2 The Sellers have not assigned to any person the benefit of a claim against the Company to which the Sellers would otherwise be entitled.
