Transfer Agent Certificate. The Company shall have caused to be delivered a certificate executed by the transfer agent of the Company dated as of the Closing of the Additional Closing, as applicable, certifying the total number of shares of Common Stock of the Company outstanding as of the day immediately prior to the Closing or the Additional Closing, as applicable.
