Common use of Transfer Agent; Transfer Sheets Clause in Contracts

Transfer Agent; Transfer Sheets. For a period of three (3) years after the Effective Date, the Company shall retain a transfer agent and registrar acceptable to the Representative (the “Transfer Agent”) and shall furnish to the Representative at the Company’s sole cost and expense such transfer sheets of the Company’s securities as the Representative may reasonably request, including the daily and monthly consolidated transfer sheets of the Transfer Agent and DTC; provided that such provision shall not prevent a sale, merger or similar transaction involving the Company. VStock Transfer LLC is acceptable to the Representative to act as Transfer Agent for the shares of Common Stock.

For a period of three two (32) years after the Effective Datedate of this Agreement, the Company shall use its commercially reasonable efforts to retain a transfer agent and registrar acceptable to the Representative (the “Transfer Agent”) and shall use its commercially reasonable efforts to furnish to the Representative at the Company’s sole cost and expense such transfer sheets of the Company’s securities as the Representative may reasonably request, including the daily and monthly consolidated transfer sheets of the Transfer Agent and DTC; provided that such provision shall not prevent a sale. American Stock Transfer & Trust Company, merger or similar transaction involving the Company. VStock Transfer LLC is LLCis acceptable to the Representative to act as Transfer Agent for the shares of Common Stock.

For a period Until the later of (i) three (3) years after the Effective Datedate of this Agreement and (ii) the date that all Pre-Funded Warrants have been exercised, the Company shall retain a transfer agent and registrar acceptable to the Representative (the “Transfer Agent”) and shall furnish to the Representative at the Company’s sole cost and expense such transfer sheets of the Company’s securities as the Representative may reasonably request, including the daily and monthly consolidated transfer sheets of the Transfer Agent and DTC; provided that such provision shall not prevent a sale. Pacific Stock Transfer, merger or similar transaction involving the Company. VStock Transfer LLC Inc. is acceptable to the Representative to act as Transfer Agent for the shares of Common Stock.

For a period of three (3) years after the Effective Datedate of this Agreement, the Company shall retain a transfer agent and registrar acceptable to the Representative Representatives (the “Transfer Agent”) and and, for a period of one (1) year after the date of this Agreement, the Company shall furnish to the Representative Representatives at the Company’s sole cost and expense such transfer sheets of the Company’s securities as the Representative Representatives may reasonably request, including the daily and monthly consolidated transfer sheets of the Transfer Agent and DTC; provided that such provision shall not prevent a sale, merger or similar transaction involving the Company. VStock Transfer LLC Transhare Corporation is acceptable to the Representative Representatives to act as Transfer Agent for the shares of Common Stock.

For a period of three two (32) years after the Effective Datedate of this Agreement, the Company shall retain a transfer agent and registrar acceptable to the Representative (the “Transfer Agent”) and for a period of one (1) year after the date of this Agreement the Company shall furnish to the Representative at the Company’s sole cost and expense such transfer sheets of the Company’s securities as the Representative may reasonably request, including the daily and monthly consolidated transfer sheets of the Transfer Agent and DTC; provided that such provision shall not prevent a sale, merger or similar transaction involving the Company. VStock Action Stock Transfer LLC Corp. is acceptable to the Representative to act as Transfer Agent for the shares of Common Stock.

VStock Transfer Transfer, LLC is acceptable to the Representative to act as Transfer Agent for the shares of Common Stock.

For a period of three (3) years after the Effective Date, the Company shall retain a transfer agent and registrar acceptable to the Representative (the “Transfer Agent”) and shall furnish to the Representative at the Company’s sole cost and expense such transfer sheets of the Company’s securities as the Representative may reasonably request, including the daily and monthly consolidated transfer sheets of the Transfer Agent and DTC; provided that such provision shall not prevent a sale, merger or similar transaction involving the Company. VStock Transfer LLC Corporate Stock Transfer, Inc. is acceptable to the Representative to act as Transfer Agent for the shares of Common Stock.

Additionally, for a period of one (1) and year after the Effective Date, the Company shall furnish to the Representative at the Company’s sole cost and expense such transfer sheets of the Company’s securities as the Representative may reasonably request, including the daily and monthly consolidated transfer sheets of the Transfer Agent and DTC; provided that such provision shall not prevent a sale, merger or similar transaction involving the Company. VStock American Stock Transfer LLC & Trust Company is acceptable to the Representative to act as Transfer Agent for the shares of Common Stock.

VStock Transfer Transfer, LLC is acceptable to the Representative to act as Transfer Agent for the shares of Common Stock.
