Transfer and Inspection. Seller originates or acquires eMortgage Loans in a manner that establishes the Seller as being in Control of each related eNote at settlement, and Control was subsequently transferred to Warehouse Provider pursuant to the terms of the Repurchase Agreement. Transfer and Inspection. Seller originates eMortgages in a manner that establishes Seller as being in Control of each related eNote at eMortgage settlement. In order to facilitate PennyMac’s purchase of an eMortgage in a Loan Purchase, Seller shall transfer (or shall cause Warehouse Provider, acting as Seller’s designee, to transfer, on Seller’s behalf) Control of the related eNote to PennyMac and Location of the related eNote to Custodian as more specifically described in Section 2.2.
