Common use of Transfer Dates Clause in Contracts

Transfer Dates. The employment of Transferred Employees with Buyer or one of its Affiliates (including the Transferred Entities), as applicable, shall be effective as of 12:01 a.m., New York City time, on the Closing Date; provided, that, notwithstanding the foregoing, the employment of Leave Recipients will become effective as provided in Section 9.01(d) above. The date on which a Transferred Employee’s employment with Buyer or one of its Affiliates, as applicable, becomes effective is hereafter referred to as that Transferred Employee’s “Transfer Date.”
