Transfer of Beneficial Interests to Another Restricted Global Security. A beneficial interest in a Transfer Restricted Global Security may be transferred to a Person who takes delivery thereof in the form of a beneficial interest in another Transfer Restricted Global Security if the transfer complies with the requirements of Section 2.2(b)(ii) above and the Registrar receives the following: (A) if the transferee will take delivery in the form of a beneficial interest in a Rule 144A Global Security, then the transferor must deliver a certificate in the form attached to the applicable Security; and (B) if the transferee will take delivery in the form of a beneficial interest in a Regulation S Global Security, then the transferor must deliver a certificate in the form attached to the applicable Security.

Transfer of Beneficial Interests to Another Restricted Global Security. A beneficial interest in a Transfer any Restricted Global Security may be transferred to a Person who takes delivery thereof in the form of a beneficial interest in another Transfer Restricted Global Security if the transfer complies with the requirements of Section 2.2(b)(ii2.06(b)(2) above and the Registrar receives the following: (A) if the transferee will take delivery in the form of a beneficial interest in a Rule the 144A Global Security, then the transferor must deliver a certificate in the form attached to of Exhibit B hereto, including the applicable Securitycertifications in item (1) thereof; and (B) if the transferee will take delivery in the form of a beneficial interest in a the Regulation S Global Security, then the transferor must deliver a certificate in the form attached to of Exhibit B hereto, including the applicable Securitycertifications in item (2) thereof.

Transfer of Beneficial Interests to Another Restricted Global Security. A beneficial interest in a Transfer Restricted Global Security may be transferred to a Person who takes delivery thereof in the form of a beneficial interest in another Transfer Restricted Global Security if the transfer complies with the requirements of Section 2.2(b)(ii) above and the Registrar receives the following: (A) if the transferee will take delivery in the form of a beneficial interest in a Rule 144A Global Security, then the transferor must deliver a certificate in the form attached to the applicable Security; and (B) if the transferee will take delivery in the form of a beneficial interest in a Regulation S Global Security, then the transferor must deliver a certificate in the form attached to the applicable Security.

Transfer of Beneficial Interests to Another Restricted Global Security. A beneficial interest in a Transfer Restricted Global Security may be transferred to a Person who takes delivery thereof in the form of a beneficial interest in another Transfer Restricted Global Security if the transfer complies with the requirements of Section 2.2(b)(ii) above and the Registrar receives the following: (A) if the transferee will take delivery in the form of a beneficial interest in a Rule 144A Global Security, then the transferor must deliver a certificate in the form attached to the applicable Security; and (B) if the transferee will take delivery in the form of a beneficial interest in a Regulation S Global Security, then the transferor must deliver a certificate in the form attached to the applicable Security.

A beneficial interest in a Transfer any Restricted Global Security may be transferred to a Person who takes delivery thereof in the form of a beneficial interest in another Transfer Restricted Global Security if the transfer complies with the requirements of Section 2.2(b)(ii2.06(b)(ii) above and the Registrar receives the following: (A) if the transferee will take delivery in the form of a beneficial interest in a Rule 144A Global Security, then the transferor must deliver a certificate in the form attached to of Exhibit A hereto, including the applicable Securitycertifications in item (1) thereof; and (B) if the transferee will take delivery in the form of a beneficial interest in a Regulation S Temporary Global Security or a Regulation S Global Security, then the transferor must deliver a certificate in the form attached to of Exhibit A hereto, including the applicable Securitycertifications in item (2) thereof.

Transfer of Beneficial Interests to Another Restricted Global Security. A beneficial interest in a Transfer any Restricted Global Security may be transferred to a Person who takes delivery thereof in the form of a beneficial interest in another Transfer Restricted Global Security if the transfer complies with the requirements of Section 2.2(b)(ii209(b)(ii) above hereof and the Security Registrar receives the following: (A) if the transferee will take delivery in the form of a beneficial interest in a Rule the 144A Global Security, then the transferor must deliver a certificate in the form attached to of Exhibit B hereto, including the applicable Securitycertifications in item 1 thereof; andor (B) if the transferee will take delivery in the form of a beneficial interest in a the Regulation S Global Security, then the transferor must deliver a certificate in the form attached to of Exhibit B hereto, including the applicable Securitycertifications in item 2 thereof.

A beneficial interest in a Transfer any Restricted Global Security may be transferred to a Person who takes delivery thereof in the form of a beneficial interest in another Transfer Restricted Global Security if the transfer complies with the requirements of Section 2.2(b)(ii2.06(b)(2) above and the Registrar receives the following: (A) if the transferee will take delivery in the form of a beneficial interest in a Rule 144A Global Security, then the transferor must deliver a certificate in the form attached to of Exhibit B hereto, including the applicable Securitycertifications in item (1) thereof; and (B) if the transferee will take delivery in the form of a beneficial interest in a Regulation S Global Security, then the transferor must deliver a certificate in the form attached to of Exhibit B hereto, including the applicable Securitycertifications in item (2) thereof.

A beneficial interest in a Transfer any Restricted Global Security may be transferred to a Person who takes delivery thereof in the form of a beneficial interest in another Transfer Restricted Global Security if the transfer complies with the requirements of Section 2.2(b)(ii2.06(b)(ii) above and the Registrar receives the following: (A) if the transferee will take delivery in the form of a beneficial interest in a Rule the 144A Global Security, then the transferor must deliver a certificate in the form attached to of Exhibit C hereto, including the applicable Securitycertifications in item (1) thereof; and (B) if the transferee will take delivery in the form of a beneficial interest in a the Regulation S Temporary Global Security or the Regulation S Permanent Global Security, then the transferor must deliver a certificate in the form attached to of Exhibit C hereto, including the applicable Securitycertifications in item (2) thereof.

Transfer of Beneficial Interests to Another Restricted Global Security. A beneficial interest in a Transfer any Restricted Global Security may be transferred to a Person who takes delivery thereof in the form of a beneficial interest in another Transfer Restricted Global Security if the transfer complies with the requirements of Section 2.2(b)(ii3.14(b)(ii) above and the Registrar receives the following: (A) if the transferee will shall take delivery in the form of a beneficial interest in a Rule the 144A Global Security, then the transferor must deliver a certificate in the form attached to of Exhibit B hereto, including the applicable Securitycertifications in item (1) thereof; and (B) if the transferee will shall take delivery in the form of a beneficial interest in a the Regulation S Temporary Global Security or Regulation S Permanent Global Security, then the transferor must deliver a certificate in the form attached to of Exhibit B hereto, including the applicable Securitycertifications in item (2) thereof.

Transfer of Beneficial Interests to Another Restricted Global Security. A beneficial interest in a Transfer any Restricted Global Security may be transferred to a Person who takes delivery thereof in the form of a beneficial interest in another Transfer Restricted Global Security if the transfer complies with the requirements of Section 2.2(b)(ii3.2(b)(ii) above and the Security Registrar receives the following: (A) if the transferee will take delivery in the form of a beneficial interest in a Rule 144A Global Security, then the transferor must deliver a certificate substantially in the form attached to of Exhibit A, including the applicable Securitycertifications in item (1) thereof; andor (B) if the transferee will take delivery in the form of a beneficial interest in a Regulation S Global Security, then the transferor must deliver a certificate substantially in the form attached to of Exhibit A, including the applicable Securitycertifications in item (2) thereof.

Transfer of Beneficial Interests to Another Restricted Global Security. A beneficial interest in a Transfer any Restricted Global Security may be transferred to a Person who takes delivery thereof in the form of a beneficial interest in another Transfer Restricted Global Security if the transfer complies with the requirements of Section 2.2(b)(ii2.04(a)(ii) above and the Registrar receives the following: (A) if the transferee will shall take delivery in the form of a beneficial interest in a Rule the 144A Global Security, then the transferor must deliver a certificate in the form attached to of Exhibit C, including the applicable Securitycertifications in item (1) thereof; and (B) if the transferee will shall take delivery in the form of a beneficial interest in a Legended Regulation S Global Security, then the transferor must deliver a certificate in the form attached to of Exhibit C, including the applicable Securitycertifications in item (2) thereof.

Transfer of Beneficial Interests to Another Restricted Global Security. A beneficial interest in a Transfer any Restricted Global Security may be transferred to a Person who takes delivery thereof in the form of a beneficial interest in another Transfer Restricted Global Security of the same series of Notes if the transfer complies with the requirements of Section 2.2(b)(ii202(d)(2) above and the Registrar receives the following: (A) if If the transferee will is to take delivery in the form of a beneficial interest in a Rule the 144A Global SecurityNote, then the transferor must deliver a certificate Transfer Certificate, including the certifications in the form attached to the applicable Securityitem (1) thereof; and (B) if If the transferee will is to take delivery in the form of a beneficial interest in a Regulation S Global SecurityNote, then the transferor must deliver a certificate Transfer Certificate, including the certifications in the form attached to the applicable Securityitem (2) thereof.

Transfer of Beneficial Interests to Another Restricted Global Security. A beneficial interest in a Transfer any Restricted Global Security may be transferred to a Person who takes delivery thereof in the form of a beneficial interest in another Transfer Restricted Global Security if the transfer complies with the requirements of Section 2.2(b)(ii2.6(b)(ii) above and the Registrar receives the following: (A) if the transferee will shall take delivery in the form of a beneficial interest in a Rule the 144A Global Security, then the transferor must deliver a certificate in the form attached to of Exhibit B hereto, including the applicable Securitycertifications in item (1) thereof; and (B) if the transferee will shall take delivery in the form of a beneficial interest in a the Regulation S Temporary Global Security or Regulation S Permanent Global Security, then the transferor must deliver a certificate in the form attached to of Exhibit B hereto, including the applicable Securitycertifications in item (2) thereof.

Transfer of Beneficial Interests to Another Restricted Global Security. A beneficial interest in a Transfer any Restricted Global Security may be transferred to a Person who takes delivery thereof in the form of a beneficial interest in another Transfer Restricted Global Security if the transfer complies with the requirements of Section 2.2(b)(ii2.04(a)(ii) above and the Registrar receives the following: (A) if the transferee will shall take delivery in the form of a beneficial interest in a Rule the 144A Global Security, then the transferor must deliver a certificate in the form attached to of Exhibit F, including the applicable Securitycertifications in item (1) thereof; and (B) if the transferee will shall take delivery in the form of a beneficial interest in a Legended Regulation S Global Security, then the transferor must deliver a certificate in the form attached to of Exhibit F, including the applicable Securitycertifications in item (2) thereof.

Transfer of Beneficial Interests to Another Restricted Global Security. A beneficial interest in a Transfer any Restricted Global Security may be transferred to a Person who takes delivery thereof in the form of a beneficial interest in another Transfer Restricted Global Security if the transfer complies with the requirements of Section 2.2(b)(ii205(1)(A) above and the Securities Registrar receives the following: (Ai) if the transferee will shall take delivery in the form of a beneficial interest in a Rule the 144A Global Security, then the transferor must deliver a certificate in the a form attached reasonably acceptable to the applicable SecuritySecurities Registrar and the Issuers; and (Bii) if the transferee will shall take delivery in the form of a beneficial interest in a Legended Regulation S Global Security, then the transferor must deliver a certificate in the a form attached reasonably acceptable to the applicable SecuritySecurities Registrar and the Issuers.

Transfer of Beneficial Interests to Another Restricted Global Security. A beneficial interest in a Transfer any Restricted Global Security may be transferred to a Person who takes delivery thereof in the form of a beneficial interest in another Transfer Restricted Global Security if the transfer complies with the requirements of Section 2.2(b)(ii202(d)(2) above and the Registrar receives the following: (A) if the transferee will is to take delivery in the form of a beneficial interest in the 144A Global Note, then the transferor must deliver a Transfer Certificate, including the certifications in item (1) thereof; and (B) if the transferee is to take delivery in the form of a beneficial interest in a Rule 144A Temporary Regulation S Global SecurityNote, then the transferor must deliver a certificate Transfer Certificate, including the certifications in the form attached to the applicable Security; and item (B2) if the transferee will take delivery in the form of a beneficial interest in a Regulation S Global Security, then the transferor must deliver a certificate in the form attached to the applicable Securitythereof.

Transfer of Beneficial Interests to Another Restricted Global Security. A beneficial interest in a Transfer Restricted Global Security may be transferred to a Person who takes delivery thereof in the form of a beneficial interest in another Transfer Restricted Global Security if the transfer complies with the requirements of Section 2.2(b)(ii) above and the Registrar receives the following: (A) if the transferee will take delivery in the form of a beneficial interest in a Rule 144A Global Security, then the transferor must deliver a certificate in the form attached to the applicable Security; and (B) if the transferee will take delivery in the form of a beneficial interest in a Regulation S Global Security, then the transferor must deliver a certificate in the form attached to the applicable Security.. Transfer of Beneficial Interests to Another Restricted Global Security.
