Common use of Transfer of the Warrants Clause in Contracts

Transfer of the Warrants. Save as otherwise agreed in writing between ▇▇▇▇▇, the Warrant Agent (acting solely under the direction of Kreos) and the Company, the Warrants may not be transferred, assigned or sold; provided, however, that Warrants held by Kreos or any of its Permitted Transferees (as defined below) may be transferred by the holders thereof: (a) to any members of Kreos or any affiliates of Kreos; provided, however, that these permitted transferees (the “Permitted Transferees”) must first enter into a written agreement with the Company agreeing to be bound by the transfer restrictions in this Agreement; and (b) in the event of the Company’s completion of a liquidation, merger, amalgamation, share exchange, reorganization or other similar transaction which results in all of the Company’s shareholders having the right to exchange their Ordinary Shares for cash, securities or other property.
