Common use of Transfer of Title and Delivery Clause in Contracts

Transfer of Title and Delivery. At the Closing, Seller shall convey the Assets to Buyer by delivery of a ▇▇▇▇ of Sale in the form set forth in Exhibit B attached hereto and made a part hereof (the "▇▇▇▇ of Sale"). Upon execution and delivery of the ▇▇▇▇ of Sale, and Seller’s receipt of the Purchase Price at Closing, (i) title to the Assets shall vest in Buyer as contemplated in this Agreement and the ▇▇▇▇ of Sale, and (ii) the Assets shall be delivered in situ.
