Common use of Transfer of Voting Rights Clause in Contracts

Transfer of Voting Rights. Stockholder agrees that, during the period from the date of this Agreement through the Expiration Date, Stockholder shall not deposit (or permit the deposit of) any Shares in a voting trust or grant any proxy or enter into any voting agreement or similar agreement in contravention of the obligations of Stockholder under this Agreement with respect to any of the Shares.

Transfer of Voting Rights. Stockholder agrees that, during the period from the date of this Agreement through Prior to the Expiration Date, each Stockholder shall not, and will not permit any Person under such Stockholder's control to, deposit (or permit the deposit of) any of such Stockholder's Subject Shares in a voting trust or grant any proxy or enter into any voting agreement or similar agreement in contravention of the obligations of such Stockholder under this Agreement with respect to any of the such Stockholder's Subject Shares, other than with Parent or its designee.

The Principal Stockholder hereby agrees that, at all times during the period from commencing on the date of this Agreement through Execution Date until the Expiration DateTime, the Principal Stockholder shall not deposit (deposit, or permit the deposit of) , any Shares in a voting trust or trust, grant any proxy in respect of the Shares, or enter into any voting agreement or similar agreement arrangement, commitment or understanding in a manner inconsistent with the terms of Section 5 of this Agreement or otherwise in contravention of the obligations of the Principal Stockholder under this Agreement Agreement, with respect to any of the Shares.

Transfer of Voting Rights. The Stockholder hereby agrees that, during that the period from the date of this Agreement through the Expiration Date, Stockholder shall not deposit (or permit the deposit of) any Shares Voting Stock in a voting trust or trust, grant any proxy or power of attorney or enter into any voting agreement or similar agreement agreement, arrangement or undertaking relating to voting or otherwise in contravention of the obligations of the Stockholder under this Agreement with respect to any of the SharesVoting Stock.

Stockholder Shareholder agrees that, during the period from the date of this Agreement through the Expiration Closing Date, Stockholder Shareholder shall not deposit (or permit the deposit of) any Shares in a voting trust or grant any proxy or enter into any voting agreement or similar agreement in contravention of the obligations of Stockholder Shareholder under this Agreement with respect to any of the Shares.

Transfer of Voting Rights. Each Stockholder agrees that, during the period from the date of this Agreement through the Expiration DateDate or other valid termination of this Agreement by such Stockholder pursuant to Section 13 hereof, such Stockholder shall not deposit (or permit the deposit of) any of his, her or its Shares in a voting trust or grant any proxy or enter into any voting agreement or similar agreement in contravention of the obligations of such Stockholder under this Agreement with respect to any of the his, her or its Shares.

Stockholder agrees that, during the period from the date of this Agreement through the Expiration Dateits termination pursuant to Section 3.4, Stockholder shall not deposit (or permit the deposit of) any NBR Shares in a voting trust or grant any proxy or enter into any voting agreement or similar agreement in contravention of the obligations of Stockholder under this Agreement with respect to any of the NBR Shares.

Transfer of Voting Rights. Except as otherwise permitted by this Agreement, the Stockholder hereby agrees that, during the period from at all times commencing on the date of this Agreement through hereof until the Expiration Date, the Stockholder shall not deposit (deposit, or permit the deposit of) , any of the Stockholder’s Subject Shares or Subject Options in a voting trust or trust, grant any proxy or power of attorney in respect of the Stockholder’s Subject Shares or Subject Options, or enter into any voting agreement or similar agreement in contravention of the obligations of Stockholder under this Agreement arrangement, commitment or understanding with respect to any the Stockholder’s Subject Shares or Deemed Converted Shares in violation of the Sharesthis Agreement.

Transfer of Voting Rights. Stockholder Shareholder agrees that, during the period from the date of this Agreement through the Expiration Date, Stockholder Shareholder shall not deposit (or permit the deposit of) any Shares in a voting trust or grant any proxy or power of attorney or enter into any voting agreement or similar agreement in contravention of the obligations of Stockholder Shareholder under this Agreement with respect to any of the Shares.

Transfer of Voting Rights. Stockholder agrees that, during the ------------------------- period from the date of this Agreement through the Expiration Date, Stockholder shall not deposit (or permit the deposit of) any Shares in a voting trust or grant any proxy or enter into any voting agreement or similar agreement in contravention of the obligations of Stockholder under this Agreement with respect to any of the Shares, except as expressly provided in this Agreement or as may be specifically required by court order.

Transfer of Voting Rights. The Stockholder hereby agrees that, during at ------------------------- all times commencing with the period from the date execution and delivery of this Agreement through and continuing until the Expiration Date, the Stockholder shall not deposit (deposit, or permit the deposit of) , any Shares in a voting trust or trust, grant any proxy in respect of the Shares, or enter into any voting agreement or similar agreement arrangement or commitment in contravention of the obligations of the Stockholder under this Agreement with respect to any of the Shares.

Transfer of Voting Rights. Stockholder agrees that, during the period from From the date hereof until the earlier of this Agreement through the Expiration DateDate and the receipt of the Stockholder Approval, each Covered Stockholder shall hereby agrees not to deposit (or cause or permit the deposit of) any Covered Shares of such Covered Stockholder in a voting trust or grant any proxy or power of attorney or enter into any voting agreement or similar agreement or arrangement in contravention of the obligations of such Covered Stockholder under this Agreement with respect to any Covered Shares of the Sharessuch Covered Stockholder.

Transfer of Voting Rights. Stockholder agrees that, during the period from From the date hereof until the earlier of this Agreement through the Expiration DateDate and the receipt of the Company Requisite Vote, each Covered Stockholder shall hereby agrees not to deposit (or cause or permit the deposit of) any Covered Shares of such Covered Stockholder in a voting trust or grant any proxy or power of attorney or enter into any voting agreement or similar agreement or arrangement in contravention of the obligations of such Covered Stockholder under this Agreement with respect to any Covered Shares of the Sharessuch Covered Stockholder.

Transfer of Voting Rights. The Stockholder hereby agrees that, during at all times commencing with the period from the date execution and delivery of this Agreement through and continuing until the Expiration Date, the Stockholder shall not deposit (deposit, or permit the deposit of) , any Shares in a voting trust or trust, grant any proxy in respect of the Shares, or enter into any voting agreement or similar agreement arrangement or commitment in contravention of the obligations of the Stockholder under this Agreement with respect to any of the Shares.

Transfer of Voting Rights. Stockholder agrees that, during the period from the date of this Agreement through prior to the Expiration Date, Stockholder shall will not deposit (or permit any of the deposit of) any Subject Shares in into a voting trust or grant any a proxy or enter into an agreement of any voting agreement or similar agreement in contravention of the obligations of Stockholder under this Agreement kind with respect to the voting of any of the Subject Shares other than for the benefit of Kidpik, or otherwise Encumber the Subject Shares.

Transfer of Voting Rights. The Stockholder hereby agrees that, during at all times commencing with the period from the date execution and delivery of this Agreement through until the Expiration Date, the Stockholder shall not deposit (deposit, or permit the deposit of) , any Shares in a voting trust or trust, grant any proxy (other than the Proxy) in respect of the Shares, or enter into any voting stockholder agreement or similar agreement arrangement or commitment in contravention of the obligations of the Stockholder under this Agreement with respect to any of the Shares.

Transfer of Voting Rights. Stockholder agrees that, during the period from the date of this Agreement through the Expiration Dateits termination pursuant to Section 3.4, Stockholder shall not deposit (or permit the deposit of) any Concentric Shares in a voting trust or grant any proxy or enter into any voting agreement or similar agreement in contravention of the obligations of Stockholder under this Agreement with respect to any of the Concentric Shares.

Transfer of Voting Rights. Except as otherwise permitted by this Agreement, each Stockholder hereby agrees that, during the period from at all times commencing on the date of this Agreement through hereof until the Expiration Date, the Stockholder shall not deposit (deposit, or permit the deposit of) , any of the Stockholder's Subject Shares in a voting trust or trust, grant any proxy or power of attorney in respect of the Stockholder's Subject Shares, or enter into any voting agreement or similar agreement in contravention of the obligations of Stockholder under this Agreement arrangement, commitment or understanding with respect to any the Stockholder's Subject Shares in violation of the Sharesthis Agreement.

Stockholder agrees that, during the period from the date of this Agreement through the Expiration Date, The Stockholder shall not deposit (or permit the deposit of) any of the Stockholder’s Shares in a voting trust or grant any proxy or enter into any voting agreement or similar agreement in contravention of the obligations of the Stockholder under this Agreement with respect to any of the SharesAgreement.

Stockholder agrees that, during During the period from the date term of this Agreement through Voting Agreement, the Expiration Date, Stockholder shall Shareholder will not deposit (or permit the deposit of) of any Shares in a voting trust trust, or grant any proxy or enter into any voting agreement or other similar agreement agreement, in contravention of the obligations of Stockholder the Shareholder under this Agreement Voting Agreement. The Shareholder revokes all other proxies and powers of attorney with respect to any the Shares that may have been appointed or granted prior to the date of this Voting Agreement that are in contravention of the Sharesobligations of the Shareholder under this Voting Agreement.

The Stockholder hereby agrees that, during at ------------------------- all times commencing with the period from the date execution and delivery of this Agreement through until the Expiration Date, the Stockholder shall not deposit (deposit, or permit the deposit of) , any Shares in a voting trust or trust, grant any proxy in respect of the Shares, or enter into any voting agreement or similar agreement arrangement or commitment in contravention of the obligations of the Stockholder under this Agreement with respect to any of the Shares.

Transfer of Voting Rights. Stockholder agrees that, during the period ------------------------- from the date of this Agreement through the Expiration Dateits termination pursuant to Section 3.4, Stockholder shall not deposit (or permit the deposit of) any Concentric Shares in a voting trust or grant any proxy or enter into any voting agreement or similar agreement in contravention of the obligations of Stockholder under this Agreement with respect to any of the Concentric Shares.

Transfer of Voting Rights. The Stockholder agrees that, during the period from the date of this Agreement through the Expiration Date, the Stockholder shall not deposit (or permit the deposit of) any Shares Stock in a voting trust or grant any proxy or enter into any voting agreement or similar agreement in contravention of the obligations of the Stockholder under this Agreement with respect to any of the SharesStock.

Transfer of Voting Rights. Stockholder agrees that, during the period from the date of this Agreement through prior to the Expiration Date, Stockholder shall will not deposit (or permit any of the deposit of) any Subject Shares in into a voting trust or grant any a proxy or enter into any voting an agreement or similar agreement in contravention understanding of the obligations of Stockholder under this Agreement any kind with any person with respect to the voting of any of the Subject Shares, except in connection with a vote to approve the transaction contemplated by the Merger Agreement in accordance with Section 2.

Stockholder agrees that, during the period from the date of this Agreement through the Expiration Date, Stockholder shall not deposit (or cause or permit the deposit of) any Shares in a voting trust or grant any proxy or enter into any voting agreement or similar agreement in contravention of the obligations of Stockholder under this Agreement with respect to any of the Shares.

Transfer of Voting Rights. Stockholder Shareholder agrees that, during the period from the date of this Agreement through the Expiration Date, Stockholder Shareholder shall not deposit (or permit the deposit of) any of the Shares in a voting trust or grant any proxy or enter into any voting agreement or similar agreement in contravention of the obligations of Stockholder Shareholder under this Agreement with respect to any of the Shares.

The Stockholder hereby agrees that, during that the period from the date of this Agreement through the Expiration Date, Stockholder shall not deposit (or permit the deposit of) any Shares in a voting trust or trust, grant any proxy or power of attorney or enter into any voting agreement or similar agreement arrangement in contravention of the obligations of the Stockholder under this Agreement with respect to any of the Shares.

The Stockholder hereby agrees that, during the period from the date of this Agreement through until the Expiration Date, the Stockholder shall not deposit (or permit the deposit of) any Shares in a voting trust or trust, grant any proxy or enter into any voting agreement or similar agreement or arrangement in contravention of the obligations of the Stockholder under this Agreement with respect to any of the Shares.

Transfer of Voting Rights. Stockholder agrees that, At all times during the period from commencing with the date execution and delivery of this Agreement through and expiring on the Expiration Date, Stockholder shall not deposit (or permit the deposit of) any Shares in a voting trust or grant any proxy or enter into any voting agreement or similar agreement in contravention of the obligations of Stockholder under this Agreement with respect to any of the Shares. Notwithstanding anything to the contrary contained in this Agreement, the provisions in this Section 2(b) shall not apply to any Shares Transferred in accordance with the last sentence of Section 2(a) above.
