Common use of Transfer of Voting Rights Clause in Contracts

Transfer of Voting Rights. During the Support Period, the Stockholder shall not (i) deposit any Subject Shares in a voting trust or grant any proxy or power of attorney or enter into any voting agreement or similar agreement with respect to any of the Subject Shares (other than the grant of any proxy expressly provided herein), (ii) Transfer any voting rights with respect to any of the Subject Shares or (iii) enter into any agreement or commitment to take any of the actions referred to in the foregoing clauses (i) and (ii).

Transfer of Voting Rights. During the Support Period, the The Stockholder shall not (i) deposit any Subject Shares in a voting trust or grant any proxy or power of attorney or enter into any voting agreement or similar agreement with respect to any of the Subject Shares (other than the grant of any proxy expressly provided herein), or (ii) Transfer take (or knowingly refrain from taking) any voting rights other action that would in any way restrict, limit or interfere with respect to any the performance of the Subject Shares or (iii) enter into any agreement or commitment to take any Stockholder’s obligations hereunder. Any action taken in violation of the actions referred to in the foregoing clauses (i) sentence shall be null and (ii)void ab initio and such Stockholder agrees that any such prohibited action may and should be enjoined.

Transfer of Voting Rights. During the Support Period, the each Stockholder shall not ensure that: (ia) deposit any none of the Subject Shares in Securities is deposited into a voting trust or grant any trust; and (b) no proxy or power of attorney or enter into any is granted, and no voting agreement or similar agreement is entered into, with respect to any of the Subject Shares (other than the grant Securities, in each case that would impair such Stockholder’s obligations under Section 3 of any proxy expressly provided herein), (ii) Transfer any voting rights with respect to any of the Subject Shares or (iii) enter into any agreement or commitment to take any of the actions referred to in the foregoing clauses (i) and (ii)this Agreement.
