Common use of Transfer or Encumbrance Clause in Contracts

Transfer or Encumbrance. Debtor will not (i) sell, assign (by operation of law or otherwise) or transfer Debtor’s rights in any of the Collateral, (ii) withdraw any cash from any deposit account included in Collateral, (iii) ▇▇▇▇▇ ▇ ▇▇▇▇ or security interest in or execute, authorize, file or record any financing statement or other security instrument with respect to the Collateral to any party other than Lender, or (iv) deliver actual or constructive possession of any certificate, instrument or document evidencing and/or representing any of the Collateral to any party other than Lender.

Transfer or Encumbrance. Debtor will not (i) sell, assign (by operation of law or otherwise) ), transfer, exchange or transfer Debtor’s rights in otherwise dispose of any of the Collateral, (ii) withdraw any cash from any deposit account included in Collateral, (iii) ▇▇▇▇nor will Debtor gran▇ ▇ ▇▇▇▇ or security interest in ▇▇▇n or execute, authorize, file or record any financing statement or other security instrument registration with respect to the Collateral to Collateral, nor will Debtor allow any party other than Lendersuch Lien, financing statement, or (iv) other registration to exist or deliver actual or constructive possession of any certificate, instrument or document evidencing and/or representing any of the Collateral to any party other Person, other than LenderLiens in favor of Secured Party or expressly permitted by the Credit Agreement.

Except as otherwise provided in the Loan Documents, no Debtor will not (i) sell, assign (by operation of law or otherwise) ), transfer, exchange, lease or transfer Debtor’s rights in otherwise dispose of any of the Collateral, (ii) withdraw nor will any cash from any deposit account included in Collateral, (iii) ▇Debtor g▇▇▇▇ ▇ ▇▇▇▇ or security interest in or execute, authorize, file or record any financing statement or other security instrument with respect to the Collateral to any party Collateral, other than Lender, or (iv) deliver actual or constructive possession of any certificate, instrument or document evidencing and/or representing any of the Collateral to any party other than LenderPermitted Encumbrances.

Transfer or Encumbrance.
