Common use of Transfer Procedure Clause in Contracts

Transfer Procedure. Subject to the provisions of Section 5.2, Holder may transfer all or part of this Warrant or the Shares issuable upon exercise of this Warrant (or the securities issuable, directly or indirectly, upon conversion of the Shares, if any) by giving the Company notice of the portion of the Warrant being transferred setting forth the name, address and taxpayer identification number of the transferee and surrendering this Warrant to the Company for reissuance to the transferee(s) (and Holder if applicable).

Transfer Procedure. Subject to the provisions of Section 5.25(c), Holder may transfer all or part of this Warrant or the Shares issuable upon exercise of this Warrant (or the securities issuable, directly or indirectly, upon conversion of the Shares, if any) at any time to any affiliate of Holder by giving the Company notice of the portion of the Warrant being transferred setting forth the name, address and taxpayer identification number of the transferee and surrendering this Warrant to the Company for reissuance to the transferee(s) (and Holder if applicable).

Transfer Procedure. Subject to the provisions of Section 5.25.4 and upon providing the Company with written notice, Holder may transfer all or part of this Warrant or the Shares issuable upon exercise of this Warrant (or the securities issuableto any transferee, directly or indirectlyprovided, upon conversion of the Shareshowever, if any) by giving in connection with any such transfer, Holder will give the Company notice of the portion of the Warrant being transferred setting forth with the name, address and taxpayer identification number of the transferee and surrendering Holder will surrender this Warrant to the Company for reissuance to the transferee(s) (and Holder if applicable).

Subject to the provisions of Section 5.25.2 and Section 5.3 of this Warrant and Section 12.2 of the Debenture Purchase & Security Agreement, Holder may transfer all or part of this Warrant or the Shares issuable upon exercise of this Warrant (or the securities issuable, directly or indirectly, upon conversion of the Shares, if any) by giving the Company notice of the portion of the Warrant being transferred setting forth the name, address and taxpayer identification number of the transferee and surrendering this Warrant to the Company for reissuance to the transferee(s) (and Holder if applicable).

Transfer Procedure. Subject to the provisions of Section 5.25.3 and upon providing the Company with written notice, Holder may transfer all or part of this Warrant or the Shares issuable issued upon exercise of this Warrant (or the securities issuable, directly or indirectly, issued upon conversion of the Shares, if any) by giving to any transferee, provided, however, in connection with any such transfer, Holder will give the Company notice of the portion of the Warrant being transferred setting forth the name, address and taxpayer identification number and/or Shares (and/or securities issued upon conversion of the transferee and surrendering this Warrant to the Company for reissuance to the transferee(sShares, if any) (and Holder if applicable).8

Transfer Procedure. Subject to the provisions of Section 5.2, 5.4 and upon providing the Company with written notice. Holder may transfer all or part of this Warrant or the Shares issuable upon exercise of this Warrant (or the securities issuableto any transferee, directly or indirectlyprovided, upon conversion of the Shareshowever, if any) by giving in connection with any such transfer. Holder will give the Company notice of the portion of the Warrant being transferred setting forth with the name, address and taxpayer identification number of the transferee and surrendering Holder will surrender this Warrant to the Company for reissuance to the transferee(s) (and Holder if applicable).

Transfer Procedure. Subject to the provisions of Section 5.2, 4.3 Holder may transfer all or part of this Warrant or and/or the Shares issuable upon exercise of this Warrant (or the securities issuable, directly or indirectly, upon conversion of the Shares, if any) at any time to any transferee by giving the Company notice of the portion of the Warrant being transferred setting forth the name, address and taxpayer identification number of the transferee and surrendering this Warrant to the Company for reissuance to the transferee(s) (and Holder if applicable).

Transfer Procedure. Subject to the provisions of Section 5.25(c), Holder may transfer all or part of this Warrant or and/or the Shares issuable upon exercise of this Warrant (or the securities issuable, directly or indirectly, upon conversion of the Shares, if any) at any time to ATEL Venture Fund, LLC, or to any other affiliate of Holder, or to any other transferee by giving the Company notice of the portion of the Warrant being transferred setting forth the name, address and taxpayer identification number of the transferee and surrendering this Warrant to the Company for reissuance to the transferee(s) (and Holder if applicable).

Transfer Procedure. Subject to the provisions of Section 5.2terms herein, Holder may transfer all or part of this Warrant or the Shares issuable upon exercise of this Warrant (or the securities issuable, directly or indirectly, upon conversion of the Shares, if any) by giving the Company notice of the portion of the Warrant being transferred setting forth the name, address address, and taxpayer or identification number of the transferee and surrendering this Warrant to the Company for reissuance re-issuance to the transferee(s) (and Holder if applicable).

Subject Holder may, subject to the provisions of Section 5.25.2 above, Holder may transfer all or part of this Warrant or and/or the Shares issuable upon exercise of this Warrant (or the securities issuable, directly or indirectly, upon conversion of the Shares, if any) at any time and from time to time by giving the Company notice of the portion of the Warrant and/or Shares being transferred setting forth the name, address and taxpayer identification number of the transferee and surrendering this Warrant to the Company for reissuance to the transferee(s) (and Holder if applicable).

Transfer Procedure. Subject to the provisions of Section 5.2Sections 4.3, any Holder may transfer all or part of this Warrant or the Warrant Shares issuable upon exercise of this Warrant (or the securities issuable, directly or indirectly, upon conversion of the Warrant Shares, if any) by giving the Company notice of the portion of the Warrant being transferred setting forth the name, address and taxpayer identification number of the transferee and surrendering this Warrant to the Company for reissuance to the transferee(s) (and Holder if applicable).

Transfer Procedure. Transfer Procedure. Subject to the provisions of Section 5.26.2, Holder may transfer all or part of this Warrant or the Shares issuable upon exercise of this Warrant (or the securities issuable, directly or indirectly, upon conversion of the Shares, if any) by giving the Company written notice of the portion of the Warrant being transferred setting forth the name, address and taxpayer identification number of the transferee and surrendering this Warrant to the Company for reissuance to the transferee(s) (and Holder Holder, if applicable), provided that no such notice shall be required for a transfer to an affiliate of Holder.

Transfer Procedure. Subject to the provisions of Section 5.26.3, Holder may transfer all or part any of this the Warrant or the Shares issuable issued upon exercise of this Warrant (or the securities issuable, directly or indirectly, upon conversion of the Warrant Shares, if any) by giving the Company notice of the portion of the Warrant Shares being transferred transferred, setting forth the name, address and taxpayer identification number of the transferee transferees and surrendering this the certificate(s) for the Warrant Shares being transferred to the Company for reissuance to the transferee(s) (and Holder if applicable).

Subject Holder shall have the right to the provisions of Section 5.2, Holder may transfer all or part of this Warrant or the Warrant Shares issuable upon exercise of this Warrant (or the securities issuable, directly or indirectly, upon conversion of the Shares, if any) by giving the Company notice of the portion of the Warrant being transferred setting forth the name, address and taxpayer identification number of the transferee and surrendering this Warrant to the Company for reissuance to the transferee(s) (and Holder if applicable).

Transfer Procedure. Subject to the provisions of Section 5.24.3, Holder may transfer all or part of this Warrant or the Shares issuable upon exercise of this Warrant (or the securities issuable, directly or indirectly, upon conversion of the Shares, if any) by giving the Company a written notice of the portion of the Warrant being transferred transferred, such notice setting forth the name, address and taxpayer identification number of the transferee transferee, and surrendering this Warrant to the Company for reissuance to the transferee(s) (and to the new Warrant Holder for any remaining Shares, if applicable).

Transfer Procedure. Subject to the provisions of Section 5.25(c), Holder may transfer all or part of this Warrant or and/or the Shares issuable upon exercise of this Warrant (or the securities issuable, directly or indirectly, upon conversion of the Shares, if any) at any time to ATEL Venture Fund, LLC, or to any other affiliate of Holder by giving the Company notice of the portion of the Warrant being transferred setting forth the name, address and taxpayer identification number of the transferee and surrendering this Warrant to the Company for reissuance to the transferee(s) (and Holder if applicable).

Transfer Procedure. Subject to the provisions of Section 5.25(c) and Section 5(d), Holder may transfer all or part of this Warrant or and/or the Shares issuable upon exercise of this Warrant (or the securities issuable, directly or indirectly, upon conversion of the Shares, if any) at any time to any affiliate of Holder, or to any other transferee by giving the Company notice of the portion of the Warrant being transferred setting forth the name, address and taxpayer identification number of the transferee and surrendering this Warrant to the Company for reissuance to the transferee(s) (and Holder if applicable).
