Common use of Transfer Program Clause in Contracts

Transfer Program. Subject to the provisions of Section 7.9(d) of the Asset Purchase Agreement, ▇▇▇▇▇▇ Japan covenants and agrees that it shall use its commercially reasonable efforts to assist and cooperate with Inverness Japan to establish its own manufacturing line for the Product Line at a location other than the Manufacturing Facility prior to the termination of this Agreement in order to enable Inverness Japan to obtain the Manufacturing Site License to perform the entire manufacturing process for the Products upon the termination of this Agreement. The Parties shall negotiate in good faith and agree on a transfer program for the transition of the manufacturing of the Product Line from the Manufacturing Facility to another location by no later than 1 year prior to the termination of this Agreement.
