Common use of Transfer Sheets Clause in Contracts

Transfer Sheets. For a period of two years following the Effective Date or until such earlier time upon which the Company is required to be liquidated, the Company shall retain a transfer and warrant agent acceptable to the Representative (“Transfer Agent”) and will furnish to the Underwriters at the Company’s sole cost and expense such transfer sheets of the Company’s securities as the Representative may request, including the daily and monthly consolidated transfer sheets of the Transfer Agent and DTC. The Representative acknowledges that American Stock Transfer & Trust Company is an acceptable Transfer Agent.

For a period of two years following the Effective Date or until such earlier time upon which the Company is required to be liquidated, the Company shall retain a AST or another transfer and warrant agent acceptable to the Representative Representatives (“Transfer Agent”) and will furnish to the Underwriters Representatives, at the Company’s sole cost and expense expense, for a period of one year following the Effective Date, such transfer sheets of the Company’s securities as the Representative Representatives may request, including the daily and monthly consolidated transfer sheets of the Transfer Agent and DTC. The Representative acknowledges Underwriters acknowledge that American Stock Transfer & Trust Company AST is an acceptable Transfer Agent.
