Common use of Transfer terms Clause in Contracts

Transfer terms. Any Transfer of Shares pursuant to this agreement shall be on terms that those Shares: (a) are transferred free from all Encumbrances; and (b) are transferred with the benefit of all rights attaching to them as at the date of the relevant Transfer Notice, Insolvency Notice, Tag-Along Notice, Drag-Along Notice or Default Notice as appropriate.

Transfer terms. Any Transfer sale and/or transfer of Shares pursuant to this agreement Agreement shall be on terms that those Shares: (a) 14.1.1 are transferred free from all Encumbrancesclaims, pledges, equities, liens, charges and encumbrances; and (b) 14.1.2 are transferred with the benefit of all rights attaching to them as at the date of the relevant Transfer Notice, Insolvency Notice, Tag-Along Notice, Drag-Along Default Notice or Default Sale Notice or Counter Notice as appropriate.

Any Transfer sale and/or transfer of Shares pursuant to this agreement Agreement shall be on terms that those Shares: (a) 9.2.1 are transferred free from all Encumbrances; and (b) 9.2.2 are transferred with the benefit of all rights attaching to them as at the date of the relevant Transfer Notice, Insolvency Notice, Tag-Along Notice, Drag-Along Sell Out Notice or Default Notice as appropriate.

Any Transfer sale and/or transfer of Shares pursuant to under this agreement Agreement shall be on terms that those Shares: (a) 22.7.1 are transferred free from all Encumbrances; and (b) 22.7.2 are transferred with the benefit of all rights attaching to them as at the Transfer Date or any other date of the relevant Transfer Notice, Insolvency Notice, Tag-Along Notice, Drag-Along Notice or Default Notice as appropriateShareholders and the Buyer may agree.

Any Transfer sale and/or transfer of Shares pursuant to this agreement Agreement shall be on terms that those Shares: (a) 16.1.1 are transferred free from all Encumbrances; and (b) 16.1.2 are transferred with the benefit of all rights attaching to them as at the date of the relevant Transfer Deadlock Notice, Insolvency Notice, Tag-Along Notice, Drag-Along Transfer Notice or Default Notice as appropriate.
