Common use of TRANSFERABILITY/ASSIGNMENT Clause in Contracts

TRANSFERABILITY/ASSIGNMENT. The rights and obligations of Purchaser shall be assignable so long as Purchaser (or its successor in interest) remains responsible for payment of the Consideration. This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and permitted assignees. Nothing herein expressed or implied is intended to confer upon any person, other than the parties hereto and their respective successors and permitted assignees, any rights, remedies, obligations or liabilities under or by reason of this Agreement.
