Common use of Transferability of the Warrant Clause in Contracts

Transferability of the Warrant. Subject to the provisions of this Warrant with respect to compliance with the Act, title to this Warrant (and the rights herein) may be transferred (in whole or in part) by the Holder by endorsement and delivery in the same manner as a negotiable instrument transferable by endorsement and delivery. Notwithstanding anything else in this Warrant to the contrary, this Warrant may however only be transferred (in whole or in part) to an “accredited investor” or otherwise in compliance with the Act. For the avoidance of doubt, the Company may not assign or delegate any of its rights or obligations hereunder without the prior written consent of the Holder.
