Common use of Transferred Information Clause in Contracts

Transferred Information. (a) After the completion of the transactions contemplated by this Agreement, the Recipient agrees to: (i) use and disclose the Transferred Information under its control only for those purposes for which the Transferred Information was initially collected, permitted to be used or disclosed, unless: (A) the Disclosing Party or Recipient have first notified the individual about whom the Transferred Information related of any additional purpose, and where required by applicable Law, obtained the consent of such individual to such additional purpose, or (B) such use or disclosure is permitted or authorized by applicable Law, without notice to, or consent from, such individual; (ii) protect the Transferred Information under its control by making reasonable security arrangements against such risks as unauthorized access, collection, use, disclosure, copying, modification, disposal or destruction; providing, however, that such arrangements include, at a minimum, safeguards that are appropriate to the sensitivity of such Transferred Information; and (iii) give effect to any withdrawal of consent made by an individual to whom the Transferred Information under its control relates. (b) Where required by applicable Law, the Purchaser further agrees to promptly notify the individuals about whom the Transferred Information relates that the transactions contemplated by this Agreement and the Transaction Documents have taken place and that their Transferred Information has been disclosed.

Transferred Information. The Buyer covenants and agrees to: (a) After prior to the completion of the transactions contemplated by this Agreementherein, the Recipient agrees to: (i) collect, use and disclose the Transferred Information under its control solely for the purpose of reviewing and completing the transactions contemplated herein, including the determination to complete such transactions, and only collect, use and disclose such information to the extent necessary to meet such purpose and as authorized or permitted by law; (b) after the completion of the transactions contemplated herein: (i) collect, use and disclose the Transferred Information only for those purposes for which the Transferred Information was initially collected, permitted collected from or in respect of the individual to be used or disclosedwhich such Transferred Information relates, unless: : (A) the Disclosing Party or Recipient have Buyer has first notified the such individual about whom the Transferred Information related of any such additional purpose, and where required by applicable Lawlaw, obtained the consent of such individual to such additional purpose, or or (B) such use or disclosure is permitted or authorized by applicable Lawlaw, without notice to, or consent from, such individual; ; and (ii) protect the Transferred Information under its control by making reasonable security arrangements against such risks as unauthorized access, collection, use, disclosure, copying, modification, disposal or destruction; providing, however, that such arrangements include, at a minimum, safeguards that are appropriate to the sensitivity of such Transferred Information; and (iii) give effect to any withdrawal of consent made by an individual to whom the Transferred Information under its control relates. (b) Where where required by applicable LawLegal Requirement, the Purchaser further agrees to promptly notify the individuals about to whom the Transferred Information relates that the transactions contemplated by this Agreement and the Transaction Documents herein have taken place and that their the Transferred Information has been disclosed.disclosed to the Buyer; (c) return or destroy the Transferred Information, at the option of the Sellers, should the transactions contemplated herein not be completed; and

Transferred Information. (a) After Each Party acknowledges and confirms that the personal information disclosed or conveyed from one party to the other (the “Transferred Information”) is necessary for the purposes of determining if the parties hereto will proceed with the transactions contemplated in this Agreement, and that the disclosure of Transferred Information relates solely to the completion of the transactions contemplated by this Agreement. (b) In addition to its other obligations hereunder, the recipient of personal information covenants and agrees to: (i) prior to the completion of the transactions contemplated in this Agreement, collect, use and disclose the Transferred Information solely for the purpose of reviewing and completing the transactions contemplated in this Agreement, including for the purpose of determining to complete the transactions contemplated by this Agreement; (ii) after the completion of the transactions contemplated by this Agreement, the Recipient agrees to: (i) collect, use and disclose the Transferred Information under its control only for those purposes for which the Transferred Information was initially collected, permitted collected from or in respect of the individual to be used which such Transferred Information relates or disclosed, unless: for the completion of the transactions contemplated by this Agreement unless (Ai) the Disclosing Party or Recipient have recipient of the personal information has first notified the such individual about whom the Transferred Information related of any such additional purpose, and where required by applicable Law, obtained the consent of such individual to such additional purpose, or or (Bii) such use or disclosure is permitted or authorized by applicable Law, without notice to, or consent from, such individual; (ii) protect the Transferred Information under its control by making reasonable security arrangements against such risks as unauthorized access, collection, use, disclosure, copying, modification, disposal or destruction; providing, however, that such arrangements include, at a minimum, safeguards that are appropriate to the sensitivity of such Transferred Information; and (iii) give effect to any withdrawal of consent made by an individual to whom the Transferred Information under its control relates. (b) Where where required by applicable Law, the Purchaser further agrees to promptly notify the individuals about to whom the Transferred Information relates that the transactions contemplated by this Agreement and the Transaction Documents have has taken place and that their the Transferred Information has been discloseddisclosed to the recipient of the personal information.
