Transfers and Redemptions. Except as expressly provided in the applicable Class A Unit Agreement, a holder of Class A Units shall not be entitled to transfer his or her Class A Units. Notwithstanding the foregoing sentence, a holder of Class A Units shall not be entitled to transfer (directly or indirectly), and shall not transfer (directly or indirectly), its Class A Units if doing so would constitute a “measurement event” under Regulations Sections 1.761-3(c)(1)(iii)(A) and 1.761-3(c)(2)(i). The Redemption Right provided to Qualifying Parties under Section 15.1 shall not apply with respect to Class A Units unless and until such Class A Units have been exercised for Common Units in accordance with the terms of the applicable Class A Unit Agreement.
Transfers and Redemptions. GIAC shall receive for acceptance orders from the Separate Accounts for the exchange or redemption of Fund shares each business day and forward such orders to the Fundstransfer agent.
Transfers and Redemptions. (a) Funding shall have sold to IFA-LP 22.42758% of the Partnership Interests in Drive (together with the same percentage of the capital accounts of Drive) for $15,982,760.54 so that, immediately after giving effect thereto, IFA-LP shall own 67.8577436% of the Partnership Interests (and the same percentage of the capital accounts of Drive) and Funding shall own 13.4993325%; (b) Funding shall have amended its partnership agreement to create Class A and Class B partnership interests, and all of the Class B Interests shall have been issued to CLCLLC; (c) Funding shall have redeemed the aforesaid Class B Interests from CLCLLC for $15,982,760.54; (d) Drive Holdings shall have distributed the Minority Funding Interests (i.e., those in Funding and those in Auto-GP) to Drive; (e) Drive shall have distributed the Minority Funding Interests to MG-LP; and (f) The Partnership Agreement shall have been amended to restate the Partnership Interests of the partners of Drive so that, after giving effect thereto, the Partnership Interests of Drive are owned of record as follows: IFA-LP 68.9298922%, Funding 13.7360292%, MG-LP 17.232473% and Drive-GP 0.1016055%.
Transfers and Redemptions. The Agent shall receive for acceptance orders from unitholders of Agent's Separate Accounts for the exchange or redemption of Fund shares each business day and forward such orders to PMFS in accordance with the Operating Procedures set forth in Exhibit B. 3. Blue Sky Reports: If in the reasonable judgment of the Funds such information is required by applicable state securities laws or the interpretation thereof by applicable regulatory authorities, the Agent shall periodically prepare a report to the Funds and PMFS, in accordance with a system approved by the Funds and PMFS, showing by state of Customer shareholder residence, all sales and redemptions of Fund shares.

  • In-kind redemptions The Acquiring Fund acknowledges and agrees that, if and to the extent consistent with the Acquired Fund’s registration statement, as amended from time to time, the Acquired Fund may, in its sole discretion, honor any redemption request partially or wholly in-kind in a manner consistent with Federated Hermes Funds’ Redemption-In-Kind Procedures.

  • Sales and Redemptions A provisional credit of an amount equal to the net sale price for a sale or redemption of securities or other financial assets shall be made to the account of the Portfolio as if the amount had been received as of the close of business on the date on which good funds would ordinarily be immediately available in the applicable market. The provisional credit will be made conditional upon the Custodian having received Proper Instructions with respect to, or reasonable notice of, the transaction, as applicable; and the Custodian or its agent having possession of the securities of other financial assets (excluding financial assets subject to any third party lending arrangement entered into by a Portfolio) associated with the transaction in good deliverable form and not being aware of any facts which would lead the Custodian or its agent to believe that the transaction will not settle in the time period ordinarily applicable to such transactions in the applicable market.

  • Distributions and Redemptions Maker shall not declare or pay any dividends or make any distributions of cash, property or securities of Maker with respect to any shares of its common stock, preferred stock or any other class or series of its stock, or, directly or indirectly (except for repurchases of common stock by Maker in accordance with the terms of employee benefit plans or written agreement between Maker and any of its employees approved by the Board of Directors of Maker prior to February 1, 2004), redeem, purchase, or otherwise acquire for any consideration any shares of its common stock or any other class of its stock.

  • Restrictions on Redemption The Company may not redeem any Notes on any date if the principal amount of the Notes has been accelerated in accordance with the terms of this Indenture, and such acceleration has not been rescinded, on or prior to the Redemption Date (except in the case of an acceleration resulting from a Default by the Company in the payment of the Redemption Price with respect to such Notes).

  • Dividends, Distributions and Redemptions To enable each Fund to pay dividends or other distributions to shareholders of each such Fund and to make payment to shareholders who have requested repurchase or redemption of their shares of each such Fund (collectively, the "Shares"), the Custodian shall release cash or Securities insofar as available. In the case of cash, the Custodian shall, upon the receipt of Instructions, transfer such funds by check or wire transfer to any account at any bank or trust company designated by each such Fund in such Instructions. In the case of Securities, the Custodian shall, upon the receipt of Special Instructions, make such transfer to any entity or account designated by each such Fund in such Special Instructions.
