Transfers in Violation of Agreement Void. No purported sale, assignment, transfer, pledge, encumbrance, gift, transfer in trust (voting or other) or other disposition of, or creation of a security interest in, or lien on, any shares of Stock by any Stockholder or other holder thereof in violation of the provisions of this Agreement shall be valid and the Company shall not record the transfer of any such shares of Stock on the books of the Company and the holders of such shares of Stock shall not be entitled to vote or participate in any dividends or other distributions made by the Company (if otherwise entitled thereto).   • Transfers in Violation of Agreement Any Transfer or attempted Transfer of any Carried Shares in violation of any provision of this Agreement shall be void, and the Company shall not record such Transfer on its books or treat any purported transferee of such Carried Shares as the owner of such equity for any purpose.

  • Violation of Agreement If Guest(s) violates any of the conditions of this Agreement, Agent may terminate this Agreement and enter premises. Upon notice of termination of this Agreement, Guest(s) shall vacate the Premises immediately and forfeit all rents and security deposits.
