Common use of Transfers in Violation Clause in Contracts

Transfers in Violation. Any sale, assignment, transfer, pledge, hypothecation, grant of security interest or disposition of any Stock, by gift or otherwise, which is in violation of any provision of this Agreement shall be void and of no effect, and shall not be recognized by the Corporation as transferring any interest in any of the Stock. The Corporation shall not transfer any Stock unless and until it has received reasonable assurance of compliance with this Agreement in connection with such transfer.
