Common use of Transfers in Violation Clause in Contracts

Transfers in Violation. Any sale, assignment, transfer, pledge, hypothecation, mortgage or disposition of any Shares, by gift or otherwise, in violation of any provision of this Agreement shall be void and of no effect and shall not be recognized by Buyer as transferring any interest in any of such Shares.
