Transformation. NHS England shall be responsible for: co-ordinating and enabling ICB-led specialised service transformation programmes for Delegated Services where necessary; supporting the ICB to implement national policy and guidance across its Populations for Retained Services; supporting the ICB with agreed transformational programmes where national transformation support has been agreed for Delegated Services; providing leadership for transformation programmes and projects that have been identified as priorities for national coordination and support, or are national priorities for the NHS, including supporting delivery of commitments in the NHS Long Term Plan; co-production and co-design of transformation programmes with the ICB and wider stakeholders; and providing access to subject matter expertise including Clinical Reference Groups, national clinical directors, Programme of Care leads for the ICB where it needs support, including in relation to local priority transformation.

Transformation. The resulting Modest code comprises a parallel process at its highest level, which contains service “image processing service”, resources “CPU” and “GPU” that run forever, and two generators that call “image - processing service”. The service waits for incoming requests of either of the gen- erators and triggers the process, similar to the iDSL process, in return. Atomic processes in the process call the respective resources, which perform a delay. Since nondeterministic scheduling is employed, the resources have no queues.

Transformation. The Grantor may not, without the Agent’s prior written consent or unless the Agent shall have received an acknowledgement (in form and substance satisfactory to the Agent) of its prior Lien, transform any of the movables forming part of the Hypothecated Property either by incorporating such movables into an immovable or by combining or mixing them with other movables so as to form new property, unless such immovable or new property are themselves subject or made subject to the hypothec hereby granted or to a Lien in favour of the Agent or unless such transformation is made in the ordinary course of operating an enterprise of the Grantor that is engaged in the business of manufacturing or transforming property. In no event, however, may the Grantor transform any such property where such transformation would result in the Agent’s security or rights hereunder, including in particular their rank, being diminished. In the event of any such transformation, even without the Agent’s authorization, the Grantor (who shall not be relieved of the default resulting from the failure to obtain authorization) shall immediately inform the Agent of the details of such transformation and shall in particular provide the Agent with a description of the property thereby affected, the name and address of the owner of the property that may result therefrom and the address where such property is located.

Transformation. The services involved must be aligned to the aims of system transformation and new care models.

Transformation. The ICB shall: prioritise pathways and services for transformation according to the needs of its Population and opportunities for improvement in ICB commissioned services and for Delegated Services; lead ICB and ICB Collaboration Arrangement driven transformation programmes across pathways for Delegated Services; lead the delivery locally of transformation in areas of national priority (such as Cancer, Mental Health and Learning Disability and Autism), including supporting delivery of commitments in the NHS Long Term Plan; support NHS England with agreed transformational programmes for Retained Services; support NHS England with agreed transformational programmes and identify future transformation programmes for consideration and prioritisation for Delegated Services where national co-ordination and enablement may support transformation; work collaboratively with NHS England on the co-production and co-design of transformation and improvement interventions and solutions in those areas prioritised; and ensure Relevant Clinical Networks and other clinical networks use levers to facilitate and embed transformation at a local level for Delegated Services. In accordance with Clause 6.2 of this Agreement, all functions of NHS England other than those defined as Delegated Functions, are Reserved Functions. This Schedule sets out further provision regarding the carrying out of the Reserved Functions as they relate to the Delegated Functions. The ICB will work collaboratively with NHS England and will support and assist NHS England to carry out the Reserved Functions. The following functions and related activities shall continue to be exercised by NHS England.

Transformation. 17.1 NHS England shall be responsible for: 17.1.1 providing leadership for transformation programmes and projects that have been identified as priorities for national coordination and support, and / or are national priorities for the NHS, including supporting delivery of commitments in the NHS Long Term Plan; 17.1. 2 co-production and co-design of transformation programmes with the Joint Committee and wider stakeholders; and 17.1.3 supporting Joint Committees in co-ordinating and enabling Specialised Services transformation programmes for Joint Specialised Services where necessary.

Transformation. Without limiting any of Supplier’s other obligations hereunder with respect to Technological Evolution, Supplier shall perform the transformational activities and implement the technology and other changes described in the Transformation Plan described in the applicable Supplement. If any services, functions or responsibilities not specifically described in the Transformation Plan are an inherent, necessary or customary part of the Transformation Services or are required for proper performance or provision of the Transformation Services or the completion of the changes described in the Transformation Plan in accordance with this Agreement, they shall be deemed to be included within the scope of the Transformation Services to be delivered without additional charge, as if such services, functions or responsibilities were specifically described in the Transformation Plan. Kraft will perform those tasks which are designated to be Kraft’s responsibility in the Transformation Plan, and any services, functions or responsibilities that are an inherent, necessary or a customary part of the designated tasks. Unless otherwise agreed in writing, Kraft shall not incur any charges, fees or expenses payable to Supplier in connection with the transformation, other than those charges, fees and expenses specified in the applicable Supplement and those incurred by Kraft. At Supplier’s request or as specified in the Transformation Plan, Kraft shall provide reasonable cooperation to Supplier in connection with its performance of the Transformation Services.
