Transit Traffic Service. BellSouth shall provide tandem switching ----------------------- and transport services for Knology's Transit Traffic. Transit traffic is traffic originating on Knology's network that is switched and/or transported by BellSouth and delivered to a third party's network, or traffic originating on a third Party's network that is switched and/or transported by BellSouth and delivered to Knology's network. Rates for local Transit Traffic shall be the applicable call transport and termination charges as set forth in Exhibit A to this Attachment. Rates for intraLATA toll and Switched Access Transit Traffic shall be the applicable call transport and termination charges as set forth in BellSouth Interstate or Intrastate Switched Access tariffs. Switched Access Transit Traffic presumes that Knology's end office is subtending the BellSouth Access Tandem for switched access traffic to and from Knology's end users utilizing BellSouth facilities, either by direct trunks with the IXC, or via the BellSouth Access Tandem. Billing associated with all Transit Traffic shall be pursuant to Multiple Exchange Carrier Access Billing (MECAB) guidelines. Pursuant to these guidelines, the Initial Billing Company shall provide summary usage data, for all originating and terminating Transit Traffic, to all Subsequent Billing Companies. Traffic between Knology and Wireless Type 1 third parties shall not be treated as Transit Traffic from a routing or billing perspective. Traffic between Knology and Wireless Type 2A or UNE-CLEC third parties shall not be treated as Transit Traffic from a routing or billing perspective until BellSouth and the Wireless carrier or UNE-CLEC third party have the capability to properly meet-point-▇▇▇▇ in accordance with MECAB guidelines. 5.8.1 The delivery of traffic which transits the BellSouth network and is transported to another carrier's network is excluded from any BellSouth billing guarantees and will be delivered at the rates stipulated in this Agreement to a terminating carrier. BellSouth agrees to deliver this traffic to the terminating carrier; provided, however, that Knology is solely responsible for negotiating and executing any appropriate contractual agreements with the terminating carrier for the receipt of this traffic through the BellSouth network. BellSouth will not be liable for any compensation to the terminating carrier or to Knology. Knology agrees to compensate BellSouth for any charges or costs for the delivery of Transit Traffic to a connecting carrier on behalf of Knology. Additionally, the Parties agree that any billing to a third party or other telecommunications carrier under this section shall be pursuant to MECAB procedures.

(1) Local Traffic. Transit traffic is traffic originating on Knology's network that is switched and/or transported by BellSouth , IntraLATA Toll Traffic and delivered InterLATA Toll Traffic originated from the other Party and terminating to a third party's networkparty carrier, or traffic originating on and (2) Local Traffic, IntraLATA Toll Traffic and InterLATA Toll Traffic originated from a third party carrier and terminating to the other Party's network that is switched and/or transported by BellSouth and delivered . The Parties shall provide Transit Traffic Service to Knology's networkITC/\DeltaCom in accordance with this Section 10. Rates for local Transit Traffic Service for Local Traffic shall be the applicable call transport and termination charges for Local Traffic, as set forth in Attachment 11 to this Agreement. Rates for Transit Traffic Service for IntraLATA Toll Traffic and InterLATA Toll Traffic (i.e., Switched Access Traffic) shall be the applicable call transport and termination charges as set forth in Exhibit A to this Attachment. Rates for intraLATA toll and Switched Access Transit Traffic shall be the applicable call transport and termination charges as set forth in BellSouth providing Party's Intrastate or Interstate or Intrastate Switched Access tariffs. Switched Access Transit Traffic presumes that Knology's end office is subtending the BellSouth Access Tandem for switched access traffic to tariff, as filed and from Knology's end users utilizing BellSouth facilities, either by direct trunks effective with the IXC, FCC or via the BellSouth Access Tandemappropriate State Commission. Billing associated with all Transit Traffic Service shall be pursuant to Multiple Exchange Carrier Access Billing (MECAB) guidelinesMECAB procedures. Pursuant to these guidelines, the Initial Billing Company shall provide summary usage data, for all originating and terminating Transit Traffic, to all Subsequent Billing Companies. Traffic between Knology and Wireless Type 1 third parties traffic shall not be treated as Transit Traffic transit traffic from a routing or billing perspective. Where ITC/\DeltaCom has a direct connection (via a cross connect between collocation spaces in a BellSouth central office or otherwise) to a third party carrier, ITC/\DeltaCom and that third party carrier shall not utilize Transit Traffic Service from BellSouth.
5.8.1 10.2 The delivery of traffic originated by ITC/\DeltaCom which transits the BellSouth network and is transported to another carrier's network is excluded from any BellSouth billing guarantees and will be delivered at the rates stipulated as set forth in Attachment 11 to this Agreement to a terminating carrierAgreement. BellSouth agrees to deliver this traffic to the terminating carrier; provided, however, that Knology ITC/\DeltaCom is solely responsible for negotiating and executing establishing any appropriate contractual necessary agreements or the placement of any necessary valid orders with the terminating carrier for the receipt of this traffic through the BellSouth network. BellSouth will not be liable for any compensation to the terminating carrier or to Knology. BellSouth will not be liable for any compensation to the terminating carrier or to Knologyas a result of providing the transit function. Knology Further, KMC Telecom agrees to compensate BellSouth for any charges or costs for the delivery of Transit Traffic transit traffic to a connecting carrier on behalf of KnologyKMC Telecom for which a valid contract or order has not been established. Additionally, the Parties agree that any billing to a third party or other telecommunications carrier under this section shall be pursuant to MECAB procedures.
6.9.2 Except for as provided in 6.9.3, transit charges shall only be assessed on the originating carrier and shall not be assessed on the terminating carrier.
6.9.3 Transit charges associated with the provisioning of toll free services (e.g., 800/888/877) shall be assessed upon the terminating carrier and shall not be imposed on the originating carrier.
