Common use of Transition at Termination/Expiration of Contract Clause in Contracts

Transition at Termination/Expiration of Contract. Upon cancellation, expiration or early termination of this Agreement, Vendor shall take all actions necessary to accomplish a complete and timely transition from Vendor to Board, or to any replacement service providers designated by Board (collectively "New Provider"), without material impact on the Products and Services or any other services provided by third parties. Vendor shall provide Board and New Provider with all information regarding the Products and Services that is needed for the transition. Vendor shall provide for the prompt and orderly conclusion of all work, as Board may direct, including completion or partial completion of projects, documentation of work in process, and other measures to assure an orderly transition. Vendor shall provide any additional transition services as Board requests in writing for a period of up to one year after the termination, cancellation or expiration of this Contract, on a time and materials basis, at a rate to be mutually agreed between Board and Vendor.
