Transition Period for UNE-P. 5.4.3.1 For purposes of this Section 5.4, the Transition Period for UNE-P is the twelve (12) month period beginning March 11, 2005 and ending March 10, 2006. 5.4.3.2 For the purposes of this Section 5.4, Embedded Base shall mean UNE-P and any additional elements that are required to be provided in conjunction therewith that were in service for MRC as of March 10, 2005. Subsequent disconnects or loss of End Users shall be removed from the Embedded Base. 5.4.3.3 During the Transition Period only, BellSouth shall make UNE-P available for the Embedded Base, in addition to all elements that are required to be provided in conjunction with UNE-P, at the rates, terms and conditions set forth in this Attachment. The Transition Period shall apply only to MRC’s Embedded Base and MRC shall not place new orders for UNE-P pursuant to this Agreement. 5.4.3.4 Notwithstanding the Effective Date of this Agreement, the rates for MRC’s Embedded Base of UNE-P during the Transition Period shall be as set forth in Exhibit A. 5.4.3.5 By October 1, 2005, MRC must submit orders or spreadsheets, or if migrating to UNE Loops must use the Bulk Migration process in accordance with Section 2.1.12 above, to either disconnect or convert all of its Embedded Base of UNE-P to other BellSouth services. 5.4.3.5.1 If MRC fails to submit orders or spreadsheets converting all of the Embedded Base of UNE-P as specified in Section 5.4.3.5 above prior to October 1, 2005, BellSouth will identify MRC's remaining Embedded Base of UNE-P and will transition such UNE-P to resold BellSouth telecommunication services, as set forth in Attachment 1. Those circuits identified and transitioned by BellSouth shall be subject to the applicable disconnect charges as set forth in this Agreement and the full nonrecurring charges for installation of such BellSouth services as set forth in BellSouth's tariffs. 5.4.3.5.2 For Embedded Base UNE-P converted pursuant to Section 5.4.3.5 or transitioned pursuant to Section 5.4.3.5.1, the applicable recurring tariff charges shall apply as of the earlier of the date each circuit is converted or transitioned, as applicable, or March 11, 2006. 5.4.3.6 Effective March 11, 2006, UNE-P will no longer be made available pursuant to this Agreement.

BellSouth shall ▇▇▇▇ to UNE Loops must use ITC^DeltaCom the Bulk Migration process in accordance with Section 2.1.12 above, to either disconnect or convert all of its Embedded Base of UNE-P to other BellSouth services. 5.4.3.5.1 If MRC fails to submit orders or spreadsheets converting all of amount owed for the Embedded Base of UNE-P for the period from March 11, 2005 to the Effective Date, and ITC^DeltaCom shall pay such amount according to payment processes set forth in Attachment 6 of this Agreement. 5.4.3.5 ITC^DeltaCom will provide to BellSouth via spreadsheet, no later than December 1, 2005, information regarding any remaining conversions of UNE-P to UNE-L, including but not limited to identification of UNE-P lines remaining, the time frame within which such lines are to be converted, whether the remaining lines will be disconnected or converted to alternative BellSouth services, as specified identified by ITC^DeltaCom in the spreadsheet. To the extent ITC^DeltaCom intends to convert UNE-P lines to UNE-L, ITC^DeltaCom will utilize the Bulk Migration process set forth in Section 2.1.12.1. 5.4.3.5.1 If ITC^DeltaCom fails to submit such spreadsheet as identified in Section 5.4.3.5 above prior to October by December 1, 2005, BellSouth will identify MRCITC^DeltaCom's remaining Embedded Base of UNE-P and will transition such UNE-P to resold BellSouth telecommunication services, as set forth in Attachment 1, unless otherwise mutually agreed upon by the Parties. Those circuits identified and transitioned by BellSouth shall be subject to the applicable disconnect charges as set forth in this Agreement and the full nonrecurring charges for installation of such BellSouth services as set forth in BellSouth's tariffs. 5.4.3.5.2 For Embedded Base UNE-P converted pursuant to Section 5.4.3.5 or transitioned pursuant to Section 5.4.3.5.1, the . The Transition Period shall apply only to MRCClearwave Communications’s Embedded Base and MRC Clearwave Communications shall not place new orders for UNE-P pursuant to this Agreement. 5.4.3.4 Notwithstanding the Effective Date of this Agreement, the rates for MRCClearwave Communications’s Embedded Base of UNE-P during the Transition Period shall be as set forth in Exhibit A. 5.4.3.5 By October 1, 2005, MRC Clearwave Communications must submit orders or spreadsheetsorders, or spreadsheets if migrating converting to UNE Loops must use through the Bulk Migration process process, outlined in accordance with Section 2.1.12 above2.1.10, to either disconnect or convert all of its Embedded Base of UNE-P to other BellSouth servicesservices as Conversions pursuant to Section 1.6 by October 1, 2005. 5.4.3.5.1 If MRC Clearwave Communications fails to submit orders or spreadsheets converting all of the Embedded Base of UNE-P as specified in Section 5.4.3.5 above prior to October 1, 2005, BellSouth ▇▇▇▇▇▇▇▇▇ will identify MRCClearwave Communications's remaining Embedded Base of UNE-P and will transition such UNE-P to resold BellSouth telecommunication services, as set forth in Attachment 1. Those circuits identified and transitioned by BellSouth shall be subject to the applicable disconnect charges as set forth in this Agreement and the full nonrecurring charges for installation of such BellSouth services as set forth in BellSouth's tariffs. 5.4.3.5.2 For Embedded Base UNE-P converted pursuant to Section 5.4.3.5 above or transitioned pursuant to Section 5.4.3.5.15.4.3.5. above, the applicable recurring tariff charges shall apply as of the earlier of the date each circuit is converted or transitioned, as applicable, or March 11, 2006. 5.4.3.6 Effective March 11, 2006, UNE-P will no longer be made available pursuant to this Agreement.

To the extent BTI intends to convert UNE-P lines to UNE-L, BTI will utilize the Bulk Migration process set forth in Section 2.1.12.1. 5.4.3.5.1 If BTI fails to submit such spreadsheet as identified in Section 5.4.3.5 above prior to October by December 1, 2005, BellSouth will identify MRCBTI's remaining Embedded Base of UNE-P and will transition such UNE-P to resold BellSouth telecommunication services, as set forth in Attachment 1, unless otherwise mutually agreed upon by the Parties. The applicable recurring tariff charges shall apply as of the earlier of the date each circuit is converted or transitioned, as applicable, or March 11, 2006. 5.4.3.6 Effective 5.4.3.5.2 In the states of Georgia, and Louisiana, to the extent any UNE-P lines in BTI’s Embedded Base of UNE-P carry Digital Subscriber Line (DSL) service provided in whole or in part by BellSouth, either as a wholesale service pursuant to BellSouth’s FCC tariff for DSL transport or as the BellSouth FastAccess® Internet access service offered on a retail basis, the Parties agree that such lines shall be converted to resold services on or before March 11, 2006. BTI will identify via the spreadsheet described in Section 5.4.3.5 above those UNE-P lines carrying DSL service, and the Parties will work cooperatively to ensure that all such lines are converted to resold services before March 11, 2006. To the extent such lines are not converted by March 11, 2006, the BTI End User is subject to losing its DSL service provided over the UNE-P will no longer be made available pursuant to this Agreementline.

Those circuits identified and transitioned by BellSouth shall be subject to the applicable disconnect charges as set forth in this Agreement and the full nonrecurring charges for installation of such BellSouth services as set forth in BellSouth's tariffs. 5.4.3.5.2 For Embedded Base UNE-P converted pursuant to Section 5.4.3.5 or transitioned pursuant to Section 5.4.3.5.1, the applicable recurring tariff charges shall apply as of the earlier of the date each circuit is converted or transitioned, as applicable, or March 11, 2006. 5.4.3.6 Effective March 11, 2006, UNE-P will no longer be made available pursuant to this Agreement.

Transition Period for UNE-P. 5.4.3.1 For purposes of this Section 5.4, the Transition Period for UNE-P is the twelve (12) month period beginning March 11, 2005 and ending March 10, 2006. 5.4.3.2 For the purposes of this Section 5.4, Embedded Base shall mean UNE-P and any additional elements that are required to be provided in conjunction therewith that were in service for MRC NationNET as of March 10, 2005. Subsequent disconnects or loss of End Users shall be removed from the Embedded Base. 5.4.3.3 During the Transition Period only, BellSouth shall make UNE-P available for the Embedded Base, in addition to all elements that are required to be provided in conjunction with UNE-P, at the rates, terms and conditions set forth in this Attachment. The Transition Period shall apply only to MRCNationNET’s Embedded Base and MRC NationNET shall not place new orders for UNE-P pursuant to this Agreement. 5.4.3.4 Notwithstanding the Effective Date of this Agreement, the rates for MRCNationNET’s Embedded Base of UNE-P during the Transition Period shall be as set forth in Exhibit A. 5.4.3.5 By October 1, 2005, MRC NationNET must submit orders or spreadsheetsorders, or spreadsheets if migrating converting to UNE Loops must use through the Bulk Migration process process, outlined in accordance with Section 2.1.12 above2.1.10, to either disconnect or convert all of its Embedded Base of UNE-P to other BellSouth servicesservices as Conversions pursuant to Section 1.6 by October 1, 2005. 5.4.3.5.1 If MRC NationNET fails to submit orders or spreadsheets converting all of the Embedded Base of UNE-P as specified in Section 5.4.3.5 above prior to October 1, 2005, BellSouth will identify MRCNationNET's remaining Embedded Base of UNE-P and will transition such UNE-P to resold BellSouth telecommunication services, as set forth in Attachment 1. The Transition Period shall apply only to MRCSouthern Digital’s Embedded Base and MRC Southern Digital shall not place new orders for UNE-P pursuant to this Agreement. 5.4.3.4 Notwithstanding the Effective Date of this Agreement, the rates for MRCSouthern Digital’s Embedded Base of UNE-P during the Transition Period shall be as set forth in Exhibit A. 5.4.3.5 By October 1, 2005, MRC must submit orders or spreadsheets, or if migrating A. BellSouth shall ▇▇▇▇ to UNE Loops must use Southern Digital the Bulk Migration process in accordance with Section 2.1.12 above, to either disconnect or convert all of its Embedded Base of UNE-P to other BellSouth services. 5.4.3.5.1 If MRC fails to submit orders or spreadsheets converting all of amount owed for the Embedded Base of UNE-P for the period from March 11, 2005 to the Effective Date, and Southern Digital shall pay such amount according to payment processes set forth in Attachment 7 of this Agreement. 5.4.3.5 Southern Digital will provide to BellSouth via spreadsheet, no later than February 1, 2006, information regarding any remaining conversions of UNE-P to UNE-L, including but not limited to identification of UNE-P lines remaining, the time frame within which such lines are to be converted, whether the remaining lines will be disconnected or converted to alternative BellSouth services, as specified identified by Southern Digital in the spreadsheet. To the extent Southern Digital intends to convert UNE-P lines to UNE-L, Southern Digital will utilize the Bulk Migration process set forth in Section 2.1.12.1. 5.4.3.5.1 If Southern Digital fails to submit such spreadsheet as identified in Section 5.4.3.5 above prior to October by February 1, 20052006, BellSouth will identify MRCSouthern Digital's remaining Embedded Base of UNE-P and will transition such UNE-P to resold BellSouth telecommunication services, as set forth in Attachment 1, unless otherwise mutually agreed upon by the Parties.
