Transmittals. Every document, letter, progress report, change order, and any other written transmissions exchanged between the Contractor and employer shall be assigned a unique transmittal number. The Contractor shall maintain a correspondence index and assign transmittal numbers consecutively for all Contractor documents. Employer will maintain a similar correspondence numbering scheme identifying documents and correspondence that employer initiates.
Transmittals. As soon as reasonably practicable after the Effective Time, the Parent will instruct the Paying Agent to mail to each record holder of a Certificate (i) a letter of transmittal (which will specify that delivery will be effected, and risk of loss and title to such Certificates will pass, only upon delivery of the Certificate to the Paying Agent and will be in such form and have such other provisions as the Parent will reasonably specify) and (ii) instructions for use in effecting the surrender of Certificates for the Merger Consideration. Upon the surrender to the Paying Agent of such Certificates together with a duly executed and completed letter of transmittal and all other documents and other materials required by the Paying Agent to be delivered in connection therewith, the holder will be entitled to receive the Merger Consideration into which the Certificates so surrendered have been converted in accordance with the provisions of this Agreement. Until so surrendered, each outstanding Certificate will be deemed from and after the Effective Time, for all corporate purposes, to evidence the right to receive the Merger Consideration into which the Razorfish Shares represented by such Certificate have been converted in accordance with the provisions of this Agreement.
Transmittals. 6.1. The Department will use a Transmittal process to provide the Contractor with official direction within the scope of the Contract. The Contractor shall comply with all direction contained within a completed Transmittal. For a Transmittal to be considered complete, it must include, at a minimum, all of the following: The date the Transmittal will be effective. Direction to the Contractor regarding performance under the Contract. A due date or timeline by which the Contractor shall comply with the direction contained in the Transmittal. If the Contractor cannot meet the due date or timeline contained in the Transmittal, it shall work with the Department to determine a mutually agreeable due date or timeline. The signature of the Department employee who has been designated to sign Transmittals.
6.1.4.1. The Department will provide the Contractor with the name of the person it has designated to sign Transmittals on behalf of the Department, who will be the Department’s primary designee. The Department will also provide the Contractor with a list of backups who may sign a Transmittal on behalf of the Department if the primary designee is unavailable. The Department may change any of its designees from time to time by providing notice to the Contractor through a Transmittal.
6.1.4.2. The Department may use an electronic signature to sign any Transmittal.
6.2. The Department may deliver a completed Transmittal to the Contractor through a communication or file sharing system that the Parties have designated for such purpose. In the event that the designated communication or file sharing system is unavailable, the Department may deliver a Transmittal through an email or as a hard-copy document.
6.3. If the Contractor receives conflicting Transmittals, the Contractor shall contact the Department’s primary designee, or backup designees if the primary designee is unavailable, to obtain direction. If the Department does not provide direction otherwise, then the Transmittal with the latest effective date shall control.
6.4. In the event that the Contractor receives direction from the Department outside of the Transmittal process, it shall contact the Department’s primary designee, or backup designees if the primary designee is unavailable, and have the Department confirm that direction through a Transmittal prior to complying with that direction.

Transmittals. Third Party Sender must deliver a transmittal to the BND ACH Desk upon completion of File Delivery via an e-mail to ▇▇▇▇▇▇▇▇▇▇▇▇▇@▇▇.▇▇▇, fax to (▇▇▇) ▇▇▇-▇▇▇▇, or other method agreed to by Third Party Sender and BND from an authorized person listed in Schedule D. This Transmittal must contain the Customer Name, Effective Date, Total Debits ($), and Total Credits ($) of the file. A callback will be done to verify the ACH file total unless Schedule E is signed.
