Treatment of Warrant Upon Acquisition of Company Sample Clauses

The "Treatment of Warrant Upon Acquisition of Company" clause defines how outstanding warrants are handled if the company is acquired. Typically, this clause outlines whether warrants will be assumed by the acquiring entity, converted into the right to purchase shares of the acquirer, or cashed out at a specified value. For example, if a company is bought, warrant holders may receive equivalent warrants in the new company or a cash payment based on the acquisition price. The core function of this clause is to provide certainty and fairness to warrant holders and the company by clarifying their rights and obligations in the event of a change in control.
