Common use of True and Accurate Clause in Contracts

True and Accurate. Each of the Vendor and the Company hereby jointly and severally represents, warrants and undertakes to and with the Purchaser that: 8.1.1 each Warranty is true and accurate and not misleading in any respect as at the date of this Agreement; and 8.1.2 each Warranty shall be true and accurate and not misleading in any respect as at Completion as if they had been given again at Completion and for this purpose only, where there is an express or implied reference in a Warranty to "the date of this Agreement", that reference is to be construed as a reference to Completion.
