True and Complete Information. No schedule, statement, list, certificate, or other information furnished or to be furnished by Acquiror in connection with this Agreement, including the Acquiror Disclosure Statement, contains or will contain any untrue statement of a material fact, or omits or will omit to state a material fact necessary to make the statements contained therein, in light of the circumstances in which they are made, not misleading.
