Common use of True and Correct Copies Clause in Contracts

True and Correct Copies. Seller has delivered or made available or, prior to the commencement of the Review Period will deliver or make available, to Purchaser true, correct, and complete copies of all contracts, agreements and documents referred to in this Agreement, together with all modifications thereof and amendments thereto, and all current maintenance records related to the Assets. It is expressly understood that Seller, prior to the execution of this Agreement, has made available to the Purchaser, true and correct copies of (i) all Ancillary Agreements and Support Agreements in effect as of the Effective Date, (ii) certificates of insurance with respect to all insurance policies held by Seller, and (iii) any lawsuit, demand, order or other complaint relating to the Seller or the Drilling Business. At the commencement of the Review Period, Seller shall make available to Purchaser true and correct copies of (i) all Drilling Contracts and Ancillary Agreements which are to be assumed or performed by the Purchaser, (ii) daily drilling reports with respect to Seller’s Drilling Business, (iii) all maintenance and rig inspection records relating to the Assets, (iv) all safety records relating to the Drilling Business (for the prior one year), (v) all personnel records for all employees, and (vi) all other documents referenced in this Agreement which have not previously been delivered to the Purchaser, including copies of all insurance policies listed on Schedule 5(m).
