Common use of Trust Irrevocable; Amendments Clause in Contracts

Trust Irrevocable; Amendments. The Trust shall be irrevocable and may not be amended or terminated by the Grantor in whole or in part, except as follows: (a) The Grantor and the Trustee may amend this Trust Agreement by written instrument executed by both parties, without the consent of the Participants in the Plan, provided such amendment does not have an adverse effect on the rights of such Participants hereunder. (b) Except as provided in Section 6.1(a), the Grantor and the Trustee may amend this Trust Agreement by written instrument executed by both parties and consented to in writing by Participants having at least fifty-one (51) percent of the value of the Deferred Benefits and Death Benefits under the Plan and of the value of benefits under, or pursuant to, Plan Exhibits B and C at the time of the amendment.
