Common use of Trustee and Paying Agent Clause in Contracts

Trustee and Paying Agent. (a) BAM shall receive prior written notice of any name change of the Trustee or, if applicable, the paying agent (the “Paying Agent”) for the Series 2016 Certificates or the resignation or removal of the Trustee or, if applicable, the Paying Agent. Any Trustee must be (A) a national banking association that is supervised by the Office of the Comptroller of the Currency and has at least $250 million of assets, (B) a state-chartered commercial bank that is a member of the Federal Reserve System and has at least $1 billion of assets, or (C) otherwise approved by BAM in writing. (b) No removal, resignation or termination of the Trustee or, if applicable, the Paying Agent shall take effect until a successor, acceptable to BAM, shall be qualified and appointed.
