Common use of Trustee Capacity Clause in Contracts

Trustee Capacity. It is expressly understood and agreed by the parties hereto that (i) this Assignment Agreement is executed and delivered by U.S. Bank National Association, not individually or personally but solely on behalf of GSAA Home Equity Trust 2006-3, as the Assignee, in the exercise of the powers and authority conferred and vested in it, (ii) each of the representations, undertakings and agreements by U.S. Bank National Association is made and intended for the purpose of binding only the GSAA Home Equity Trust 2006-3, (iii) nothing herein contained shall be construed as creating any liability for U.S. Bank National Association, individually or personally, to perform any covenant (either express or implied) contained herein, and all such liability, if any, is hereby expressly waived by the parties hereto, and such waiver shall bind any third party making a claim by or through one of the parties hereto, and (iv) under no circumstances shall U.S. Bank National Association be personally liable for the payment of any indebtedness or expenses of the GSAA Home Equity Trust 2006-3, or be liable for the breach or failure of any obligation, representation, warranty or covenant made or undertaken by the GSAA Home Equity Trust 2006-3 under this Assignment Agreement, the Trust Agreement or any related document.

Trustee Capacity. It is expressly understood and agreed by the parties hereto that (i) this Assignment Agreement is executed and delivered by U.S. HSBC Bank USA, National Association, Association not individually or personally but solely on behalf as trustee of GSAA Home Equity Trust 2006-3, as the AssigneeSupplemental Interest Trust, in the exercise of the powers and authority conferred and vested in it, (ii) each of the representations, undertakings and agreements herein made on the part of the Supplemental Interest Trust is made and intended not as personal representations, undertakings and agreements by U.S. HSBC Bank USA, National Association but is made and intended for the purpose of binding only the GSAA Home Equity Trust 2006-3Supplemental Interest Trust, (iii) nothing herein contained shall be construed as creating any liability for U.S. on the part of HSBC Bank USA, National Association, individually or personally, to perform any covenant (either express expressed or implied) implied contained herein, and all such liability, if any, is hereby being expressly waived by the parties heretohereto and by any Person claiming by, and such waiver shall bind any third party making a claim by through or through one of under the parties hereto, hereto and (iv) under no circumstances shall U.S. HSBC Bank USA, National Association be personally liable for the payment of any indebtedness or expenses of the GSAA Home Equity Trust 2006-3, or be liable for the breach or failure of any obligation, representation, warranty or covenant made or undertaken by the GSAA Home Equity Supplemental Interest Trust 2006-3 under this Assignment Agreement, the Trust Agreement or any related document.

Trustee Capacity. It is expressly understood and agreed by the parties hereto that (i) this Assignment Agreement is executed and delivered by U.S. Bank National Association, not individually or personally but solely on behalf of GSAA Home Equity Trust 2006-31, as the Assignee, in the exercise of the powers and authority conferred and vested in it, (ii) each of the representations, undertakings and agreements by U.S. Bank National Association is made and intended for the purpose of binding only the GSAA Home Equity Trust 2006-31, (iii) nothing herein contained shall be construed as creating any liability for U.S. Bank National Association, individually or personally, to perform any covenant (either express or implied) contained herein, and all such liability, if any, is hereby expressly waived by the parties hereto, and such waiver shall bind any third party making a claim by or through one of the parties hereto, and (iv) under no circumstances shall U.S. Bank National Association be personally liable for the payment of any indebtedness or expenses of the GSAA Home Equity Trust 2006-31, or be liable for the breach or failure of any obligation, representation, warranty or covenant made or undertaken by the GSAA Home Equity Trust 2006-3 1 under this Assignment Agreement, the Trust Agreement or any related document.

Trustee Capacity. It is expressly understood and agreed by the parties hereto that (i) this Assignment Agreement is executed and delivered by U.S. Bank National Association, not individually or personally but solely on behalf of GSAA Home Equity Trust 2006-35, as the Assignee, in the exercise of the powers and authority conferred and vested in it, (ii) each of the representations, undertakings and agreements by U.S. Bank National Association is made and intended for the purpose of binding only the GSAA Home Equity Trust 2006-35, (iii) nothing herein contained shall be construed as creating any liability for U.S. Bank National Association, individually or personally, to perform any covenant (either express or implied) contained herein, and all such liability, if any, is hereby expressly waived by the parties hereto, and such waiver shall bind any third party making a claim by or through one of the parties hereto, and (iv) under no circumstances shall U.S. Bank National Association be personally liable for the payment of any indebtedness or expenses of the GSAA Home Equity Trust 2006-35, or be liable for the breach or failure of any obligation, representation, warranty or covenant made or undertaken by the GSAA Home Equity Trust 2006-3 5 under this Assignment Agreement, the Trust Agreement or any related document.

Trustee Capacity. It is expressly understood and agreed by the parties hereto that (i) this Assignment Agreement is executed and delivered by U.S. HSBC Bank USA, National AssociationAssociation not in its individual capacity, not individually or personally but solely on behalf of GSAA Home Equity as Supplemental Interest Trust 2006-3, as Trustee for the AssigneeSupplemental Interest Trust, in the exercise of the powers and authority conferred and vested in it, (ii) each of the representations, undertakings and agreements herein made on the part of the Supplemental Interest Trust is made and intended not as personal representations, undertakings and agreements by U.S. HSBC Bank USA, National Association but is made and intended for the purpose of binding only the GSAA Home Equity Trust 2006-3Supplemental Interest Trust, (iii) nothing herein contained shall be construed as creating any liability for U.S. on the part of HSBC Bank USA, National Association, individually or personally, to perform any covenant (either express expressed or implied) implied contained herein, and all such liability, if any, is hereby being expressly waived by the parties heretohereto and by any Person claiming by, and such waiver shall bind any third party making a claim by through or through one of under the parties hereto, hereto and (iv) under no circumstances shall U.S. HSBC Bank USA, National Association be personally liable for the payment of any indebtedness or expenses of the GSAA Home Equity Trust 2006-3, or be liable for the breach or failure of any obligation, representation, warranty or covenant made or undertaken by the GSAA Home Equity Supplemental Interest Trust 2006-3 under this Assignment Agreement, the Trust Agreement or any related document.

Trustee Capacity. It is expressly understood and agreed by the parties hereto that (i) this Assignment Agreement is executed and delivered by U.S. Deutsche Bank National AssociationTrust Company, not individually or personally but solely on behalf of GSAA Home Equity Trust 2006-316, as the Assignee, in the exercise of the powers and authority conferred and vested in it, (ii) each of the representations, undertakings and agreements by U.S. Deutsche Bank National Association Trust Company is made and intended for the purpose of binding only the GSAA Home Equity Trust 2006-316, (iii) nothing herein contained shall be construed as creating any liability for U.S. Deutsche Bank National AssociationTrust Company, individually or personally, to perform any covenant (either express or implied) contained herein, and all such liability, if any, is hereby expressly waived by the parties hereto, and such waiver shall bind any third party making a claim by or through one of the parties hereto, and (iv) under no circumstances shall U.S. Deutsche Bank National Association Trust Company be personally liable for the payment of any indebtedness or expenses of the GSAA Home Equity Trust 2006-316, or be liable for the breach or failure of any obligation, representation, warranty or covenant made or undertaken by the GSAA Home Equity Trust 2006-3 16 under this Assignment Agreement, the Trust Agreement or any related document.

Trustee Capacity. It is expressly understood and agreed by the parties hereto that (i) this Assignment Agreement is executed and delivered by U.S. LaSalle Bank National Association, not individually or personally but solely on behalf of GSAA Home Equity Trust 2006-314, as the Assignee, in the exercise of the powers and authority conferred and vested in it, (ii) each of the representations, undertakings and agreements by U.S. LaSalle Bank National Association is made and intended for the purpose of binding only the GSAA Home Equity Trust 2006-314, (iii) nothing herein contained shall be construed as creating any liability for U.S. LaSalle Bank National Association, individually or personally, to perform any covenant (either express or implied) contained herein, and all such liability, if any, is hereby expressly waived by the parties hereto, and such waiver shall bind any third party making a claim by or through one of the parties hereto, and (iv) under no circumstances shall U.S. LaSalle Bank National Association be personally liable for the payment of any indebtedness or expenses of the GSAA Home Equity Trust 2006-314, or be liable for the breach or failure of any obligation, representation, warranty or covenant made or undertaken by the GSAA Home Equity Trust 2006-3 14 under this Assignment Agreement, the Trust Agreement or any related document.

Trustee Capacity. It is expressly understood and agreed by the parties hereto that (i) this Assignment Agreement is executed and delivered by U.S. Bank National Association, not individually or personally but solely on behalf of GSAA Home Equity Trust 2006-312, as the Assignee, in the exercise of the powers and authority conferred and vested in it, (ii) each of the representations, undertakings and agreements by U.S. Bank National Association is made and intended for the purpose of binding only the GSAA Home Equity Trust 2006-312, (iii) nothing herein contained shall be construed as creating any liability for U.S. Bank National Association, individually or personally, to perform any covenant (either express or implied) contained herein, and all such liability, if any, is hereby expressly waived by the parties hereto, and such waiver shall bind any third party making a claim by or through one of the parties hereto, and (iv) under no circumstances shall U.S. Bank National Association be personally liable for the payment of any indebtedness or expenses of the GSAA Home Equity Trust 2006-312, or be liable for the breach or failure of any obligation, representation, warranty or covenant made or undertaken by the GSAA Home Equity Trust 2006-3 12 under this Assignment Agreement, the Trust Agreement or any related document.

Trustee Capacity. It is expressly understood and agreed by the parties hereto that (i) this Assignment Agreement is executed and delivered by U.S. Bank National AssociationBank, not individually or personally but solely on behalf of GSAA Home Equity Trust 2006-320, as the Assignee, in the exercise of the powers and authority conferred and vested in it, (ii) each of the representations, undertakings and agreements by U.S. Bank National Association is made and intended for the purpose of binding only the GSAA Home Equity Trust 2006-320, (iii) nothing herein contained shall be construed as creating any liability for U.S. Bank National AssociationBank, individually or personally, to perform any covenant (either express or implied) contained herein, and all such liability, if any, is hereby expressly waived by the parties hereto, and such waiver shall bind any third party making a claim by or through one of the parties hereto, and (iv) under no circumstances shall U.S. Bank National Association be personally liable for the payment of any indebtedness or expenses of the GSAA Home Equity Trust 2006-320, or be liable for the breach or failure of any obligation, representation, warranty or covenant made or undertaken by the GSAA Home Equity Trust 2006-3 20 under this Assignment Agreement, the Trust Agreement or any related document.

Trustee Capacity. It is expressly understood and agreed by the parties hereto that (i) this Assignment Agreement is executed and delivered by U.S. Bank National Association, not individually or personally but solely on behalf of GSAA Home Equity Trust 2006-39, as the Assignee, in the exercise of the powers and authority conferred and vested in it, (ii) each of the representations, undertakings and agreements by U.S. Bank National Association is made and intended for the purpose of binding only the GSAA Home Equity Trust 2006-39, (iii) nothing herein contained shall be construed as creating any liability for U.S. Bank National Association, individually or personally, to perform any covenant (either express or implied) contained herein, and all such liability, if any, is hereby expressly waived by the parties hereto, and such waiver shall bind any third party making a claim by or through one of the parties hereto, and (iv) under no circumstances shall U.S. Bank National Association be personally liable for the payment of any indebtedness or expenses of the GSAA Home Equity Trust 2006-39, or be liable for the breach or failure of any obligation, representation, warranty or covenant made or undertaken by the GSAA Home Equity Trust 2006-3 9 under this Assignment Agreement, the Trust Agreement or any related document.

Trustee Capacity. It is expressly understood and agreed by the parties hereto that (i) this Assignment Agreement is executed and delivered by U.S. Deutsche Bank National AssociationTrust Company (“Deutsche Bank”), not individually or personally but solely as Assignee on behalf of GSAA Home Equity GSR Mortgage Loan Trust 2006-3, as the AssigneeOA1, in the exercise of the powers and authority conferred and vested in it, (ii) each of the representations, undertakings and agreements by U.S. Bank National Association the Assignee is made and intended for the purpose of binding only the GSAA Home Equity GSR Mortgage Loan Trust 2006-3OA1, (iii) nothing herein contained shall be construed as creating any liability for U.S. Bank National Associationon the part of Deutsche Bank, individually or personally, to perform any covenant (either express or implied) contained herein, and all such liability, if any, is hereby expressly waived by the parties hereto, and such waiver shall bind any third party making a claim by or through one of the parties hereto, and (iv) under no circumstances shall U.S. Deutsche Bank National Association be personally liable for the payment of any indebtedness or expenses of the GSAA Home Equity GSR Mortgage Loan Trust 2006-3OA1, or be liable for the breach or failure of any obligation, representation, warranty or covenant made or undertaken by the GSAA Home Equity GSR Mortgage Loan Trust 2006-3 OA1 under this Assignment Agreement, the Trust Agreement or any related document.

Trustee Capacity. It is expressly understood and agreed by the parties hereto that (i) this Assignment Agreement is executed and delivered by U.S. Bank National Association, not individually or personally but solely on behalf of GSAA Home Equity Trust 2006-319, as the Assignee, in the exercise of the powers and authority conferred and vested in it, (ii) each of the representations, undertakings and agreements by U.S. Bank National Association is made and intended for the purpose of binding only the GSAA Home Equity Trust 2006-319, (iii) nothing herein contained shall be construed as creating any liability for U.S. Bank National Association, individually or personally, to perform any covenant (either express or implied) contained herein, and all such liability, if any, is hereby expressly waived by the parties hereto, and such waiver shall bind any third party making a claim by or through one of the parties hereto, and (iv) under no circumstances shall U.S. Bank National Association be personally liable for the payment of any indebtedness or expenses of the GSAA Home Equity Trust 2006-319, or be liable for the breach or failure of any obligation, representation, warranty or covenant made or undertaken by the GSAA Home Equity Trust 2006-3 19 under this Assignment Agreement, the Trust Agreement or any related document.

Trustee Capacity. It is expressly understood and agreed by the parties hereto that (i) this Assignment Agreement is executed and delivered by U.S. Bank National AssociationLaSalle, not individually or personally but solely on behalf of GSAA Home Equity Trust 2006-314, as the Assignee, in the exercise of the powers and authority conferred and vested in it, (ii) each of the representations, undertakings and agreements by U.S. Bank National Association LaSalle is made and intended for the purpose of binding only the GSAA Home Equity Trust 2006-314, (iii) nothing herein contained shall be construed as creating any liability for U.S. Bank National AssociationLaSalle, individually or personally, to perform any covenant (either express or implied) contained herein, and all such liability, if any, is hereby expressly waived by the parties hereto, and such waiver shall bind any third party making a claim by or through one of the parties hereto, and (iv) under no circumstances shall U.S. Bank National Association LaSalle be personally liable for the payment of any indebtedness or expenses of the GSAA Home Equity Trust 2006-314, or be liable for the breach or failure of any obligation, representation, warranty or covenant made or undertaken by the GSAA Home Equity Trust 2006-3 14 under this Assignment Agreement, the Trust Agreement or any related document.

Trustee Capacity. It is expressly understood and agreed by the parties hereto that (i) this Assignment Agreement is executed and delivered by U.S. Bank National Association, the Trustee not individually or personally but solely on behalf as the trustee of GSAA Home Equity the Supplemental Interest Trust, BNC Mortgage Loan Trust 2006-3, as the Assignee1, in the exercise of the powers and authority conferred and vested in itit under the Trust Agreement, (ii) each of the representations, undertakings and agreements herein made on the part of Supplemental Interest Trust, BNC Mortgage Loan Trust 2006-1 is made and intended not as personal representations, undertakings and agreements by U.S. Bank National Association the Trustee but is made and intended for the purpose of binding only the GSAA Home Equity Supplemental Interest Trust, BNC Mortgage Loan Trust 2006-31, (iii) nothing herein contained shall be construed as creating any liability for U.S. Bank National Associationon the part of the Trustee, individually or personally, to perform any covenant (either express expressed or implied) implied contained herein, and all such liability, if any, is hereby being expressly waived by the parties heretohereto and by any Person claiming by, and such waiver shall bind any third party making a claim by through or through one of under the parties hereto, hereto and (iv) under no circumstances shall U.S. Bank National Association the Trustee be personally liable for the payment of any indebtedness or expenses of the GSAA Home Equity Trust 2006-3, or be liable for the breach or failure of any obligation, representation, warranty or covenant made or undertaken by the GSAA Home Equity Supplemental Interest Trust, BNC Mortgage Loan Trust 2006-3 1 under this Assignment Agreement, the Trust Agreement or any other related documentdocuments.

Trustee Capacity. It is expressly understood and agreed by the parties hereto that (i) this Assignment Agreement is executed and delivered by U.S. Bank National AssociationBank, not individually or personally but solely on behalf of GSAA Home Equity Trust 20062007-3, as the Assignee, in the exercise of the powers and authority conferred and vested in it, (ii) each of the representations, undertakings and agreements by U.S. Bank National Association is made and intended for the purpose of binding only the GSAA Home Equity Trust 20062007-3, (iii) nothing herein contained shall be construed as creating any liability for U.S. Bank National AssociationBank, individually or personally, to perform any covenant (either express or implied) contained herein, and all such liability, if any, is hereby expressly waived by the parties hereto, and such waiver shall bind any third party making a claim by or through one of the parties hereto, and (iv) under no circumstances shall U.S. Bank National Association be personally liable for the payment of any indebtedness or expenses of the GSAA Home Equity Trust 20062007-3, or be liable for the breach or failure of any obligation, representation, warranty or covenant made or undertaken by the GSAA Home Equity Trust 20062007-3 under this Assignment Agreement, the Trust Agreement or any related document.

Trustee Capacity. It is expressly understood and agreed by the parties hereto that (i) this Assignment Agreement is executed and delivered by U.S. Bank National Association, not individually or personally but solely on behalf of GSAA Home Equity Trust 2006-39, as the Assignee, in the exercise of the powers and authority conferred and vested in it, (ii) each of the representations, undertakings and agreements by U.S. Bank National Association is made and intended for the purpose of binding only the GSAA Home Equity Trust 2006-39, (iii) nothing herein contained shall be construed as creating any liability for U.S. Bank National Association, individually or personally, to perform any covenant (either express or implied) contained herein, and all such liability, if any, is hereby expressly waived by the parties hereto, and such waiver shall bind any third party making a claim by or through one of the parties hereto, and (iv) under no circumstances shall U.S. Bank National Association be personally liable for the payment of any indebtedness or expenses of the GSAA Home Equity Trust 2006-39, or be liable for the breach or failure of any obligation, representation, warranty or covenant made or undertaken by the GSAA Home Equity Trust 2006-3 9 under this Assignment Agreement, the Trust Agreement or any related document.

Trustee Capacity. It is expressly understood and agreed by the parties hereto that (i) this Assignment Agreement is executed and delivered by U.S. Bank National Association, the Trustee not individually or personally but solely on behalf as trustee of GSAA Home Equity Supplemental Interest Trust, First Franklin Mortgage Loan Trust 2006-3, as the AssigneeFF17, in the exercise of the powers and authority conferred and vested in it, (ii) each of the representations, undertakings and agreements herein made on the part of Supplemental Interest Trust, First Franklin Mortgage Loan Trust 2006-FF17 is made and intended not as personal representations, undertakings and agreements by U.S. Bank National Association Trustee but is made and intended for the purpose of binding only the GSAA Home Equity Supplemental Interest Trust, First Franklin Mortgage Loan Trust 2006-3FF17, (iii) nothing herein contained shall be construed as creating any liability for U.S. Bank National Associationon the part of the Trustee, individually or personally, to perform any covenant (either express expressed or implied) implied contained herein, and all such liability, if any, is hereby being expressly waived by the parties heretohereto and by any Person claiming by, and such waiver shall bind any third party making a claim by through or through one of under the parties hereto, hereto and (iv) under no circumstances shall U.S. Bank National Association the Trustee be personally liable for the payment of any indebtedness or expenses of the GSAA Home Equity Trust 2006-3, or be liable for the breach or failure of any obligation, representation, warranty or covenant made or undertaken by the GSAA Home Equity Supplemental Interest Trust, First Franklin Mortgage Loan Trust 2006-3 FF17 under this Assignment Agreement, the Trust Agreement or any related document.

It is expressly understood and agreed by the parties hereto that (i) this Assignment Agreement is executed and delivered by U.S. Bank National AssociationAssociation (“U.S. Bank”), not individually or personally but solely as Assignee on behalf of GSAA Home Equity GSR Mortgage Loan Trust 2006-3, as the Assignee9F, in the exercise of the powers and authority conferred and vested in it, (ii) each of the representations, undertakings and agreements by U.S. Bank National Association the Assignee is made and intended for the purpose of binding only the GSAA Home Equity GSR Mortgage Loan Trust 2006-39F, (iii) nothing herein contained shall be construed as creating any liability for on the part of U.S. Bank National AssociationBank, individually or personally, to perform any covenant (either express or implied) contained herein, and all such liability, if any, is hereby expressly waived by the parties hereto, and such waiver shall bind any third party making a claim by or through one of the parties hereto, and (iv) under no circumstances shall U.S. Bank National Association be personally liable for the payment of any indebtedness or expenses of the GSAA Home Equity GSR Mortgage Loan Trust 2006-39F, or be liable for the breach or failure of any obligation, representation, warranty or covenant made or undertaken by the GSAA Home Equity GSR Mortgage Loan Trust 2006-3 9F under this Assignment Agreement, the Trust Agreement or any related document.

Trustee Capacity. It is expressly understood and agreed by the parties hereto that (i) this Assignment Agreement is executed and delivered by U.S. Bank National Association, Association not individually or personally but solely on behalf of GSAA Home Equity Trust 2006-39, as the Assignee, in the exercise of the powers and authority conferred and vested in it, (ii) each of the representations, undertakings and agreements by U.S. Bank National Association is made and intended for the purpose of binding only the GSAA Home Equity Trust 2006-39, (iii) nothing herein contained shall be construed as creating any liability for U.S. Bank National Association, individually or personally, to perform any covenant (either express or implied) contained herein, and all such liability, if any, is hereby expressly waived by the parties hereto, and such waiver shall bind any third party making a claim by or through one of the parties hereto, and (iv) under no circumstances shall U.S. Bank National Association be personally liable for the payment of any indebtedness or expenses of the GSAA Home Equity Trust 2006-39, or be liable for the breach or failure of any obligation, representation, warranty or covenant made or undertaken by the GSAA Home Equity Trust 2006-3 9 under this Assignment Agreement, the Trust Agreement or any related document.

Trustee Capacity. It is expressly understood and agreed by the parties hereto that (i) this Assignment Agreement is executed and delivered by U.S. Bank National Association, not individually or personally but solely on behalf of GSAA Home Equity Trust 2006-36, as the Assignee, in the exercise of the powers and authority conferred and vested in it, (ii) each of the representations, undertakings and agreements by U.S. Bank National Association is made and intended for the purpose of binding only the GSAA Home Equity Trust 2006-36, (iii) nothing herein contained shall be construed as creating any liability for U.S. Bank National Association, individually or personally, to perform any covenant (either express or implied) contained herein, and all such liability, if any, is hereby expressly waived by the parties hereto, and such waiver shall bind any third party making a claim by or through one of the parties hereto, hereto and (iv) under no circumstances shall U.S. Bank National Association be personally liable for the payment of any indebtedness or expenses of the GSAA Home Equity Trust 2006-36, or be liable for the breach or failure of any obligation, representation, warranty or covenant made or undertaken by the GSAA Home Equity Trust 2006-3 6 under this Assignment Agreement, the Trust Agreement or any related document.

Trustee Capacity. It is expressly understood and agreed by the parties hereto that (i) this Assignment Agreement Amendment is executed and delivered by U.S. Bank National Associationthe Trustee, not individually or personally but solely on behalf of GSAA Home Equity Trust 2006-3, in its capacity as the Assignee, Trustee in the exercise of the powers and authority conferred and vested in itit as the assignee of the Company under the Existing Agreement, (ii) each of the representations, undertakings and agreements by U.S. Bank National Association Trustee is made and intended for the purpose of binding only the GSAA Home Equity Trust RALI Series 2006-3QO9 Trust and RALI Grantor Trust I-A, Series 2006-QO9 (together, the “Trusts”), (iii) nothing herein contained shall be construed as creating any liability for U.S. Bank National AssociationTrustee, individually or personally, to perform any covenant (either express or implied) contained herein, and all such liability, if any, is hereby expressly waived by the parties hereto, and such waiver shall bind any third party making a claim by or through one of the parties hereto, and (iv) under no circumstances shall U.S. Bank National Association Trustee be personally liable for the payment of any indebtedness or expenses of the GSAA Home Equity Trust 2006-3Trusts, or be liable for the breach or failure of any obligation, representation, warranty or covenant made or undertaken by the GSAA Home Equity Trust 2006-3 Trusts under this Assignment AgreementAmendment, the Trust Pooling and Servicing Agreement or any related document.

Trustee Capacity. It is expressly understood and agreed by the parties hereto that (i) insofar as this Assignment Agreement is executed and delivered by U.S. Bank National Association, not individually or personally but solely on behalf of GSAA Home Equity Trust 2006-3, as the Assignee, in the exercise of the powers and authority conferred and vested in it, Trustee: (ii) each of the representations, undertakings and agreements by U.S. Bank National Association is made and intended for the purpose of binding only the GSAA Home Equity Trust 2006-3, (iiii) nothing herein contained shall be construed as creating any liability for on the part of U.S. Bank National Association, individually or personally, to perform any covenant (either express expressed or implied) implied contained herein, and all such liability, if any, is hereby being expressly waived by the parties hereto and by any Person claiming by, through or under the parties hereto, (ii) under no circumstances shall U.S. Bank National Association in its individual capacity be personally liable for the payment of any indebtedness or expenses undertaken under this Assignment Agreement, and (iii) nothing herein shall be construed as creating any liability on the part of U.S. Bank National Association, individually or personally, to perform any covenant either expressed or implied contained herein, all such liability, if any, being expressly waived by the parties hereto and such waiver shall bind any third party making a claim by or through one of the parties hereto, and (iv) under no circumstances shall U.S. Bank National Association in its individual capacity be personally liable for the payment of any indebtedness or expenses of the GSAA Home Equity Trust 2006-3, or be liable for the breach or failure of any obligation, representation, warranty or covenant made or undertaken by the GSAA Home Equity Trust 2006-3 under this Assignment Agreement, the Trust Agreement or any related document.

Trustee Capacity. It is expressly understood and agreed by the parties hereto that (i) this Assignment Agreement is executed and delivered by U.S. Bank National AssociationAssociation (“U.S. Bank”), not individually or personally but solely as Assignee on behalf of GSAA Home Equity GSR Mortgage Loan Trust 20062007-3, as the Assignee4F, in the exercise of the powers and authority conferred and vested in it, (ii) each of the representations, undertakings and agreements by U.S. Bank National Association the Assignee is made and intended for the purpose of binding only the GSAA Home Equity GSR Mortgage Loan Trust 20062007-34F, (iii) nothing herein contained shall be construed as creating any liability for on the part of U.S. Bank National AssociationBank, individually or personally, to perform any covenant (either express or implied) contained herein, and all such liability, if any, is hereby expressly waived by the parties hereto, and such waiver shall bind any third party making a claim by or through one of the parties hereto, and (iv) under no circumstances shall U.S. Bank National Association be personally liable for the payment of any indebtedness or expenses of the GSAA Home Equity GSR Mortgage Loan Trust 20062007-34F, or be liable for the breach or failure of any obligation, representation, warranty or covenant made or undertaken by the GSAA Home Equity GSR Mortgage Loan Trust 20062007-3 4F under this Assignment Agreement, the Trust Agreement or any related document.

Trustee Capacity. It is expressly understood and agreed by the parties hereto that (i) this Assignment Agreement is executed and delivered by U.S. Deutsche Bank National AssociationTrust Company (“Deutsche Bank”), not individually or personally but solely as Assignee on behalf of GSAA Home Equity GreenPoint Mortgage Funding Trust 2006-3, as the AssigneeOH1, in the exercise of the powers and authority conferred and vested in it, (ii) each of the representations, undertakings and agreements by U.S. Bank National Association the Assignee is made and intended for the purpose of binding only the GSAA Home Equity GreenPoint Mortgage Funding Trust 2006▇▇▇▇-3▇▇▇, (iii▇▇▇) nothing herein contained shall be construed as creating any liability for U.S. Bank National Associationon the part of Deutsche Bank, individually or personally, to perform any covenant (either express or implied) contained herein, and all such liability, if any, is hereby expressly waived by the parties hereto, and such waiver shall bind any third party making a claim by or through one of the parties hereto, and (iv) under no circumstances shall U.S. Deutsche Bank National Association be personally liable for the payment of any indebtedness or expenses of the GSAA Home Equity GreenPoint Mortgage Funding Trust 2006-3OH1, or be liable for the breach or failure of any obligation, representation, warranty or covenant made or undertaken by the GSAA Home Equity GreenPoint Mortgage Funding Trust 2006-3 OH1 under this Assignment Agreement, the Trust Agreement or any related document.

Trustee Capacity. It is expressly understood and agreed by the parties hereto that (i) this Assignment Agreement is executed and delivered by U.S. Bank National AssociationBank, not individually or personally but solely on behalf of GSAA Home Equity New Century Alternative Mortgage Loan Trust 2006-3ALT2, as the Assignee, in the exercise of the powers and authority conferred and vested in it, (ii) each of the representations, undertakings and agreements by U.S. Bank National Association is made and intended for the purpose of binding only the GSAA Home Equity New Century Alternative Mortgage Loan Trust 2006-3ALT2, (iii) nothing herein contained shall be construed as creating any liability for U.S. Bank National AssociationBank, individually or personally, to perform any covenant (either express or implied) contained herein, and all such liability, if any, is hereby expressly waived by the parties hereto, and such waiver shall bind any third party making a claim by or through one of the parties hereto, and (iv) under no circumstances shall U.S. Bank National Association be personally liable for the payment of any indebtedness or expenses of the GSAA Home Equity New Century Alternative Mortgage Loan Trust 2006-3ALT2, or be liable for the breach or failure of any obligation, representation, warranty or covenant made or undertaken by the GSAA Home Equity New Century Alternative Mortgage Loan Trust 2006-3 ALT2 under this Assignment Agreement, the Trust Agreement or any related document.

Trustee Capacity. It is expressly understood and agreed by the parties hereto that (i) this Assignment Agreement is executed and delivered by U.S. Bank National Association, not individually or personally but solely on behalf of GSAA Home Equity Trust 2006-31, as the Assignee, in the exercise of the powers and authority conferred and vested in it, (ii) each of the representations, undertakings and agreements by U.S. Bank National Association is made and intended for the purpose of binding only the GSAA Home Equity Trust 2006-31, (iii) nothing herein contained shall be construed as creating any liability for U.S. Bank National Association, individually or personally, to perform any covenant (either express or implied) contained herein, and all such liability, if any, is hereby expressly waived by the parties hereto, and such waiver shall bind any third party making a claim by or through one of the parties hereto, and (iv) under no circumstances shall U.S. Bank National Association be personally liable for the payment of any indebtedness or expenses of the GSAA Home Equity Trust 2006-31, or be liable for the breach or failure of any obligation, representation, warranty or covenant made or undertaken by the GSAA Home Equity Trust 2006-3 1 under this Assignment Agreement, the Trust Agreement or any related document.

Trustee Capacity. It is expressly understood and agreed by the parties hereto that (i) this Assignment Agreement is executed and delivered by U.S. Bank National Association, not individually or personally but solely on behalf of GSAA Home Equity Trust 2006-36, as the Assignee, in the exercise of the powers and authority conferred and vested in it, (ii) each of the representations, undertakings and agreements by U.S. Bank National Association is made and intended for the purpose of binding only the GSAA Home Equity Trust 2006-36, (iii) nothing herein contained shall be construed as creating any liability for U.S. Bank National Association, individually or personally, to perform any covenant (either express or implied) contained herein, and all such liability, if any, is hereby expressly waived by the parties hereto, and such waiver shall bind any third party making a claim by or through one of the parties hereto, and (iv) under no circumstances shall U.S. Bank National Association be personally liable for the payment of any indebtedness or expenses of the GSAA Home Equity Trust 2006-36, or be liable for the breach or failure of any obligation, representation, warranty or covenant made or undertaken by the GSAA Home Equity Trust 2006-3 6 under this Assignment Agreement, the Trust Agreement or any related document.

Trustee Capacity. It is expressly understood and agreed by the parties hereto that (i) this Assignment Agreement is executed and delivered by U.S. Bank Trust National Association, not individually or personally but solely on behalf as trustee of GSAA Home Equity Trust 2006-3, as the AssigneeTrust, in the exercise of the powers and authority conferred and vested in itit under the Trust Agreement, (ii) each of the representations, undertakings and agreements herein made on the part of the Trust is made and intended not as personal representations, undertakings and agreements by U.S. Bank Trust National Association but is made and intended for the purpose of binding only the GSAA Home Equity Trust 2006-3Trust, (iii) nothing herein contained shall be construed as creating any liability for on the part of U.S. Bank Trust National Association, individually or personally, to perform any covenant (either express expressed or implied) implied contained herein, and all such liability, if any, is hereby being expressly waived by the parties heretohereto and by any Person claiming by, and such waiver shall bind any third party making a claim by through or through one of under the parties hereto, hereto and (iv) under no circumstances shall U.S. Bank Trust National Association be personally liable for the payment of any indebtedness or expenses of the GSAA Home Equity Trust 2006-3, or be liable for the breach or failure of any obligation, representation, warranty or covenant made or undertaken by the GSAA Home Equity Trust 2006-3 under this Assignment Agreement, the Trust Agreement or any other related documentdocuments.
