Common use of Trustee Responsibilities Clause in Contracts

Trustee Responsibilities. A. Trustee is responsible for providing the necessary technical and organizational infrastructure to support the creation, use, and maintenance of the Data Trust and ensure all Data Trust Members or Data Trust users are in compliance with the terms and conditions of their agreement(s). B. Trustee is responsible for updating the Exhibits of this agreement attached hereto in accordance with approved changes provided by Data Trust Member. C. If public access of Tier 0 data is listed as an Approved Use in Exhibit A, once Tier 0 data is contributed by any Data Trust Member, Trustee shall have the right to immediately make Tier 0 Data publicly available as approved and specified therein. D. Trustee agrees to keep all Tier 1, Tier 2 and Tier 3 Data Trust Member-Contributed Data Resources confidential and only disclose them to employees, affiliates, contractors or agents who need access in order to meet Trustee’s obligations and requirements for Data Trust Members and the Data Trust for the purposes contemplated by this Agreement and the attached Exhibits. Further, Trustee represents and certifies that no Data Trust Member or Data Trust User shall have access to another Data Trust Member's Tier 1, Tier 2 or Tier 3 data in its raw form without express written or electronic approval by the Data Trust Member owning or stewarding over the data. E. Trustee will ensure that no Tier 1, Tier 2, or Tier 3 data in its raw form will be included in any published data. During the implementation of Projects and Allowable Uses, Trustee, Data Trust Members, and approved Data Trust Users may develop aggregate data that qualifies for Tier 0 classification as defined by the privacy and anonymization criteria adopted by the Data Governance Council. Such aggregate data may be published in accordance with all other Tier 0 data, as determined by the Data Governance Council. However, prior to any such release, Data Trust Members that own data used in the creation of aggregate data shall be able to review the aggregate data to verify that no Tier 1, Tier 2, Tier 3 or Tier 4 data is revealed. F. The Trustee will register and make available all approved Data Trust Users and proposals as directed by the Data Governance Council.

D. ANY DATA, DERIVED DATA, AGGREGATE DATA, TRUST-OWNED DATA, AND RESEARCH OUTPUTS CREATED UNDER THIS AGREEMENT ARE PROVIDED "AS IS." THE TRUSTEE AND THE DATA TRUST MEMBERS MAKE NO WARRANTIES, EXPRESS OR IMPLIED, AS TO THE WORK OR PRODUCTS OF WORK CREATED UNDER THIS AGREEMENT, INCLUDING ANY EXPRESS OR IMPLIED WARRANTIES OF NON-INFRINGEMENT, OWNERSHIP, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE OF THE DATA GENERATION, RESEARCH OR ANY INVENTION OR PRODUCT.

Trustee Responsibilities. A. Trustee is responsible for providing the necessary technical legal, technical, and organizational infrastructure to support the creation, use, and maintenance of the Data Trust. In conjunction with the Data Trust and Governance Board, Trustee will also ensure all Members, Data Trust Members or Data Trust users Users, Trustee and Trustee Affiliates are and remain in compliance with the terms and conditions of their agreement(s)this Agreement. B. Trustee is responsible will appoint members of the Data Trust Governance Board. C. Each Member hereby designates and recognizes the Trustee as the authorized representative of the Data Trust and as the authorized representative of the Member for updating the Exhibits of purposes and services described in this agreement attached hereto in accordance with approved changes Agreement. Each Member acknowledges and agrees that the Data Trust and related services provided by the Trustee will facilitate future audits or evaluations of various state and federal programs that the Member has the authority to carry out, and otherwise support the performance of the Member's official duties. ▇. ▇▇▇▇▇▇▇ agrees to not disclose Member-contributed Data Trust Resources designated by Member to be Sensitive Information except as authorized under this Agreement subject to any limitations imposed as a condition of such contribution at the time such data resources were contributed by the Member. Trustee agrees to keep all Tier 1, Tier 2 and Tier 3 Data Trust only disclose Member-Contributed contributed Data Resources confidential and only disclose them to employees, affiliates, contractors or agents its employees and/or Trustee Affiliates who need access in order to meet Trustee’s 's obligations and requirements for Data Trust Members and the Data Trust for the purposes contemplated by this Agreement. All Trustee Affiliates accessing Sensitive Information must agree by written contract to all provisions of this Agreement and directives of the attached ExhibitsGovernance Board pe1taining to data protection, privacy, security, and compliance. Further, Trustee represents and certifies that no Data Trust Member or Data Trust User shall nor third ▇▇▇▇▇ will have access to another Raw Data Trust Member's Tier 1, Tier 2 or Tier 3 data in its raw form without express written or electronic approval by the Data Trust Member owning or stewarding over the dataMember. E. F. Trustee will ensure that no Tier 1, Tier 2, or Tier 3 data in its raw form identified and classified as Sensitive Information will be included in any published data. During or otherwise exported from the implementation of Projects and Allowable Uses, Trustee, Data Trust Members, and approved except as expressly permitted by this Agreement. G. Trustee will ensure Members have the opportunity to inspect Aggregate Data Trust Users may develop aggregate data that qualifies for Tier 0 classification as defined by the privacy and anonymization criteria adopted by the Data Governance Council. Such aggregate data may be published in accordance with all other Tier 0 data, as determined by the Data Governance Council. However, prior to any such release, Data Trust Members that own data used in the creation of aggregate data shall be able to review the aggregate data to verify that no Tier 1, Tier 2, Tier 3 or Tier 4 data classified as Sensitive Information is included before such data is revealedpublished. F. H. The Trustee will register maintain records of access and make available utilization of all approved Data Trust Users data deemed to be Personal Information received pursuant to this Agreement. The records will record the names of the persons and proposals as directed by organizations accessing the Data Governance Councildata, and the description of the data accessed.
