Common use of Trustee to Sign Supplemental Indentures Clause in Contracts

Trustee to Sign Supplemental Indentures. The Trustee shall sign any supplemental indenture authorized pursuant to this Article 9 if the amendment contained therein does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may, but need not, sign such supplemental indenture. In signing such supplemental indenture the Trustee shall be entitled to receiveprovided with, and (subject to the provisions of Section 7.01601 of the Base Indenture) shall be fully protected in relying upon, an Officers' ’ Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this Supplemental Indenture.

In signing such supplemental indenture the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receive, and (subject to the provisions of Section 7.01) shall be fully protected in relying upon, an Officers' ’ Certificate and an Opinion of Counsel stating that such amendment supplemental indenture is authorized or permitted by this IndentureIndenture and that such supplemental indenture is the legal, valid and binding obligation of the Issuer enforceable against them in accordance with its terms, subject to customary exceptions, and complies with the provisions hereof (including Section 9.03).

The Upon the written request of the Company, the Trustee shall sign any supplemental indenture authorized pursuant to this Article 9 if the amendment contained therein does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may, but need not, sign such supplemental indenture. In signing such supplemental indenture indenture, the Trustee shall be entitled to receiveprovided with, and (subject to the provisions of Section 7.01) shall be fully protected in conclusively relying upon, an Officers' Officer’s Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this IndentureIndenture and is the legal, valid and binding obligation of the Company, enforceable against the Company in accordance with its terms.

The Trustee shall sign any supplemental indenture authorized pursuant to this Article 9 ARTICLE VIII if the amendment contained therein does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may, but need not, sign such supplemental indentureit. In signing such supplemental indenture amendment, the Trustee shall be entitled to receive, and (subject to the provisions of Section 7.01) shall be fully protected in conclusively relying upon, an Officers' ’ Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this Indenture.

The Trustee shall sign any supplemental indenture authorized pursuant to this Article 9 if the amendment contained therein does not adversely affect the rights, duties, liabilities or immunities of the Trustee. Subject to the preceding sentence, the Trustee shall sign any supplemental indenture authorized pursuant to this Article 9 XI if the amendment contained therein does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may, but need not, sign such supplemental indenture. In signing such supplemental indenture the Trustee shall be entitled to receive, and (subject to the provisions of Section 7.01) shall be fully protected in relying upon, an Officers' Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this Indenture.

Trustee to Sign Supplemental Indentures. The Trustee shall sign any supplemental indenture authorized pursuant to this Article 9 IX if the amendment contained therein such supplemental indenture does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may, may but need not, not sign such supplemental indentureit. In signing such supplemental indenture the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receive, and (subject to the provisions of Section 7.01) shall be fully protected in relying upon, an Officers' ’ Certificate and an Opinion of Counsel stating that such amendment supplemental indenture is authorized or permitted by this Indenture, that such supplemental indenture is the legal, valid and binding obligation of the Issuer, enforceable against it in accordance with its terms, subject to customary exceptions, and complies with the provisions hereof (including Section 9.03).

Trustee to Sign Supplemental Indentures. The Trustee shall sign any supplemental indenture authorized pursuant to this Article 9 if the amendment contained therein does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may, but need not, sign such supplemental indentureit. In signing such supplemental indenture amendment, the Trustee shall be entitled to receive, and (subject to the provisions of Section 7.01701) shall be fully protected in relying upon, an Officers' Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this Indenture.

Trustee to Sign Supplemental Indentures. The Trustee shall sign any supplemental indenture authorized pursuant to this Article 9 IX if the amendment contained therein does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may, but need not, sign such supplemental indenture. In signing such supplemental indenture the Trustee shall be entitled to receive, and (subject to the provisions of Section 7.01) shall be fully protected in relying upon, in addition to the documents required by Section 12.04, an Officers' Officer’s Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this Indenture.

Trustee to Sign Supplemental Indentures. The Trustee shall sign any supplemental indenture authorized pursuant to this Article 9 if the amendment contained therein effected thereby does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may, may but need not, not sign such supplemental indentureit. In signing such any supplemental indenture the Trustee shall be entitled to receive, receive and (subject to Sections 601 and 603 of the provisions of Section 7.01Base Indenture) shall be fully protected in relying upon, upon an Officers' ’ Certificate and an Opinion of Counsel stating that such amendment supplemental indenture is authorized or permitted by this the Indenture.

Trustee to Sign Supplemental Indentures. The Trustee shall sign any supplemental indenture authorized pursuant to this Article 9 if the amendment contained therein does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may, but need not, sign such supplemental indenture. In signing such supplemental indenture the Trustee shall be entitled to receive, and (subject to the provisions of Section 7.017.1) shall be fully protected in relying entitled to conclusively rely upon, an Officers' Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this Indenture.

Trustee to Sign Supplemental Indentures. The Trustee shall sign any supplemental indenture authorized pursuant to this Article 9 10 if the amendment contained therein does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may, but need not, sign such supplemental indenture. In signing such supplemental indenture the Trustee shall be entitled to receive, and (subject to the provisions of Section 7.018.01) shall be fully protected in relying upon, an Officers' Officer's Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this Indenture.

Trustee to Sign Supplemental Indentures. Trustee to Sign Supplemental Indentures. The Trustee shall sign any supplemental indenture authorized pursuant to this Article 9 XI if the amendment contained therein does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may, but need not, sign such supplemental indenture. In signing such supplemental indenture the Trustee shall be entitled to receive, and (subject to the provisions of Section 7.019.1) shall be fully protected in relying upon, an Officers' Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this Indenture.

Trustee to Sign Supplemental Indentures. The Trustee shall sign any supplemental indenture authorized pursuant to this Article 9 8 if the amendment contained therein does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may, but need not, sign such supplemental indenture. In signing such supplemental indenture the Trustee shall be entitled to receiveprovided with, and (subject to the provisions of Section 7.016.01) shall be fully protected in relying upon, an Officers' ’ Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this Indenture.

Trustee to Sign Supplemental Indentures. The Trustee shall sign any supplemental indenture authorized pursuant to this Article 9 if the amendment contained therein does not adversely affect the rights, duties, liabilities or immunities immuni- ties of the Trustee. If it does, the Trustee may, but need not, sign such supplemental indentureit.
