Trustee's Representations and Warranties. The Trustee represents, warrants and covenants that: (a) Organization, Etc. It is a national banking association duly chartered, validly existing and in good standing under the laws of the United States of America, and has all requisite power, authority and legal right under the laws of the State of Texas and the United States to execute, deliver and carry out the terms of each of the Credit Documents to which it is a party. Its principal place of business is located at its street address set forth in Section 12.3.
