Common use of Truth and Accuracy Clause in Contracts

Truth and Accuracy. All representations and warranties made by the Subscriber in this Subscription Agreement are true and accurate as of the effective date of this Subscription Agreement and shall be true and accurate as of the Closing Date. If such representations and warranties shall not be true and accurate in any respect, the Subscriber will, prior to the Closing, give written notice of such fact to the Company specifying which representations and warranties are not true and accurate and the reasons therefor.
