Truth and Correctness of Representations and Warranties. The representations and warranties of each Borrower and each other Loan Party contained in Article V or any other Loan Document will be true and correct in all material respects (except that such materiality qualifier will not be applicable to any portion of any representation and warranty that is already qualified or modified by materiality in the text thereof) on and as of the date of such Credit Extension, except to the extent that such representations and warranties specifically refer to an earlier date, in which case they will be true and correct in all material respects (except that such materiality qualifier will not be applicable to any portion of any representation and warranty that is already qualified or modified by materiality in the text thereof) as of such earlier date, and except that for purposes of this Section 4.02, the representations and warranties contained in Section 5.10 will be deemed to refer to the most recent statements furnished pursuant to Sections 6.01(a) and (b).

Truth and Correctness of Representations and Warranties. The representations and warranties of Buyer contained in this Agreement shall have been true and correct at all times between the date of this Agreement and the Closing Date, with the same force and effect as if made on and as of that date.

If any such representations and/or warranties made shall at any time hereafter be found to have been incorrect in any material respect then and in such event and notwithstanding anything to the contrary hereunder the Lender shall have the right at its absolute discretion to review, suspend, recall or terminate the Facilities or any part thereof.

(b) The truth and correctness of all the matters stated in the representations and warranties under Clause 8.1 herein shall form the basis of the Bank’s commitment to make available or continue to make available the Facility to the Customer(s). If any such representations and/or warranties made shall at any time hereafter be found to have been incorrect in any material respect then and in such event and notwithstanding anything to the contrary hereunder the Bank shall have the right at its absolute discretion and subject to Shariah to review, suspend or terminate the Facility.

Truth and Correctness of Representations and Warranties. The representations and warranties of Borrower and each other Loan Party contained in Article V or any other Loan Document, or that are contained in any document furnished at any time under or in connection herewith or therewith, shall be true and correct on and as of the date of such Credit Extension, except to the extent that such representations and warranties specifically refer to an earlier date, in which case they shall be true and correct as of such earlier date, and except that for purposes of this Section 4.02, the representations and warranties contained in subsections (a) and (b) of Section 5.11 shall be deemed to refer to each of the Audited Financial Statements and the most recent statements furnished pursuant to subsections (a) and (b), respectively, of Section 6.01.

Truth and Correctness of Representations and Warranties. (a) The Customer acknowledge that the Bank has accepted this Agreement on the basis of and in full reliance upon, the aforesaid representations and warranties, which are correct and complied with in all material respects so long as this Agreement shall remain in force and each of the above representations and warranties will be correct and complied with in all material respects throughout the subsistence of this Agreement. (b) If any such representations and warranties made shall at any time hereafter found to have been incorrect in any material respect then in such event and notwithstanding anything to the contrary contained herein, the Bank shall have the right at its discretion to review, suspend or terminate the Facility or any part thereof. (c) Each disbursement of the Customer’s Selling Price(s) shall constitute and each payment of any sums due and payable by the Customer shall, unless the Customer notifies the Bank in writing to the contrary, constitute a representation and warranty by the Customer that at the time of each disbursement or payment no event of default or event which with the giving of notice or passing of time or both would constitute an event of default has occurred and that the representations and warranties in Section 10.01 are true and correct as at the date of each disbursement.

Truth and Correctness of Representations and Warranties. To the best knowledge after due inquiry of any Responsible Officer of Borrower, all representations and warranties of each Loan Party in each Collateral Document are true and correct in all material respects except to the extent they relate to a prior date.

If any such representations and/or warranties made shall at any time hereafter be found to have been incorrect in any material respect then and in such event and notwithstanding anything to the contrary hereunder the Bank shall have the right at its absolute discretion to review, suspend, recall or terminate the Bank’s Purchase Price or any part thereof.

Truth and Correctness of Representations and Warranties. The representations and warranties of Sellers and Corporation contained in this Agreement shall be true and correct as of the Closing date.
