Truth of Representations and Warranties and Compliance With Covenants. The representations and warranties of Purchaser contained in this Plan of Reorganization shall be true as of the Closing Date with the same effect as though made on the Closing Date. Purchaser shall have performed all obligations and complied with all covenants required by this Plan of Reorganization to be performed or complied with by it prior to the Closing Date. Purchaser shall deliver to the Shareholders a certificate, in the form of Exhibit 6.02 attached hereto and made a part hereof, dated as of the Closing Date and signed by the President or a Vice President of Purchaser, certifying the truth of the representations and warranties.
